FERC Proceedings. Within forty-five (45) calendar days following execution of this Agreement, Settling Claimants who are parties to or intervenors or participants in the Refund Proceeding, the Puget Sound Proceeding, the Nevada Power Proceeding, the Fact Finding Investigation and the AG Complaint shall file motions consistent with the terms of this Agreement in the appropriate FERC dockets for partial dismissal effectuating the releases and withdrawals with prejudice of any and all Claims, Liabilities and proposed remedies, or other relief sought insofar as they pertain to any of the El Paso Releasees, as specified in this Agreement; provided, however, that (i) such dismissals shall be contingent upon the settlement becoming effective, and shall be void ab initio if the Effective Date never occurs, and (ii) El Paso shall so stipulate in a writing to be filed with such motion.
FERC Proceedings. Pepco may unilaterally make application to FERC under Section 205 of the Federal Power Act and pursuant to the FERC's rules and regulations promulgated thereunder for, or exercise any rights it may have under Section 206 of the Federal Power Act and the regulations thereunder with respect to, a change in any rates, terms and conditions, charges, classification of service, rule or regulation for any services Pepco provides under this Agreement over which FERC has jurisdiction.

FERC Proceedings. Ginna agrees to not seek a reliability must-run agreement (or similar agreement) from FERC with respect to the RSS Unit during the Term. Notwithstanding the foregoing, the Parties agree that Ginna will seek the FERC Authorization in accordance with Section 2.1.
FERC Proceedings. There are no pending FERC proceedings in which the EWG status, market-based rate authority or the FPA Section 204 authority of a Project Company is subject to withdrawal, revocation or material modification other than FERC rulemakings of general applicability, including, but not limited to, Market-Based Rates for Wholesale Sales of Energy, Capacity and Ancillary Services by Public Utilities in Docket No. RM04-7-000.
FERC Proceedings. There are no pending FERC proceedings in which the EWG or QF status (as applicable), market-based rate authority or the FPA Section 204 authority of the Company, Wind LLC or any of their subsidiaries is subject to withdrawal, revocation or material modification other than FERC rulemakings of general applicability.

FERC Proceedings. 15.1. Mountain Fuel and Wexpro will amend their Applications or take other action in the FERC Dockets in a manner consistent with this Stipulation and the Agreement within 60 days of the approval by the Commission of this Stipulation and the Agreement or the final resolution by a competent court on appeal or review. 15.2. All parties will use their best efforts, in cooperation with each other, to obtain any necessary approval by FERC of the terms of this Stipulation and the Agreement which affect the pending Applications. 15.3. It is acknowledged that this Stipulation will not stop the Division and Committee from taking positions contrary to those of the Company and Wexpro in the FERC Dockets on matters not subject to this Stipulation and the Agreement. 15.4. No party will file in the future any application with any regulatory body which is intended to result in the modification or abrogation of any term of this Stipulation or the Agreement except in exigent circumstances. 15.5. Should FERC assert regulatory authority over the gas produced from either the productive gas reservoirs or productive oil reservoirs, all parties will cooperate and use their best efforts to obtain complete acquiesence in or adoption by that agency of the pricing and supply provisions of the Agreement pertaining to those reservoirs.
