Such audited financial statements fairly present, in all material respects, the combined and consolidated financial position and results of operations of Group Holdings SBS and such unaudited condensed, combined and consolidated financial statements fairly present, in all material respects, the condensed, combined and consolidated financial position and results of operations of Group Holdings SBS as of such date and for such periods presented. Such financial statements and the notes thereto disclose all material liabilities, direct or contingent, of Group Holdings SBS as of the date thereof, to the extent such liabilities are required to be disclosed by GAAP.
