Financing and Bankability Support. The Parties acknowledge that for the purposes of implementing the Project, the Concessionaire may require Financial Assistance from the Lenders. To this end, the Authority shall co-operate with the Concessionaire to achieve Financial Close, including by signing any relevant documents and providing such consents and waivers as may be reasonably required by the Lenders.

Financing and Bankability Support. (a) The Parties acknowledge that for the purposes of implementing the Project, the Concessionaire may require Financial Assistance from the Lenders. To this end, the Jal Xxxxx shall co-operate with the Concessionaire to achieve Financial Close, including by signing any relevant documents and providing such consents and waivers as may be reasonably required by the Lenders. (b) In case of a Concessionaire Event of Default, the Jal Xxxxx and NMCG acknowledge that the Lenders will have a right to substitute the Concessionaire in accordance with Clause 16.2 and the Substitution Agreement. The Jal Xxxxx will suspend its right to step-in or terminate this Agreement until the expiry of the period available to the Lenders to exercise their substitution rights under Clause 16.2.
Financing and Bankability Support. 12.1 The Parties acknowledge that the SPD may take financial assistance from Xxxxxxx to develop and implement the Project. The SPPD shall cooperate with the SPD to achieve financial close, including by signing a Substitution Agreement, in the format as set out in Schedule 1 and providing such consents and waivers as may reasonably be required by the Lenders. The SPD acknowledges that the SPPD shall have no financial obligation to either the SPD or the Lender in relation to achieving financial close for the Project. 12.2 The Parties agree and acknowledge that in the event the Lenders step-in or substitute the SPD under the PPA in accordance with the terms of the PPA, then the Lenders shall also have the right to step-in or substitute the SPD under this Agreement in accordance with the Substitution Agreement.
Financing and Bankability Support. (a) The Parties acknowledge that the SPD may obtain Financial Assistance from Lenders to construct, operate and maintain the Unit. The Procurer and RUMSL shall cooperate with the SPD to achieve Financial Close. Provided however the quantum of Financial Assistance as disclosed by the SPD in accordance with Article 2.1(a)(ii), shall only be considered for the purposes of computation of Debt Due unless the SPD has obtained the prior consent of the Procurer for any increase in the Financial Assistance, which shall not be unreasonably withheld. If the Procurer does not respond or provide its consent within 10 (ten) Days of a request made by the SPD for such additional Financial Assistance, then the SPD shall be entitled to obtain such additional Financial Assistance, provided however that such additional Financial Assistance shall not be considered in the computation of Debt Due. (b) Upon the SPD making a request in writing, the Procurer and RUMSL shall enter into the Substitution Agreement with the Lenders, SPD and Indian Railways in the format set out in Annex 4, whereby the Procurer and RUMSL: (i) shall consent to the assignment of the rights and benefits of the SPD under this Agreement as Security for the grant of Financial Assistance by the Lenders; (ii) shall grant the Lenders certain rights to remedy any default by the SPD by consultation or step-in by the Lenders or substitution of the SPD; (iii) shall agree that upon the occurrence of any SPD Event of Default, it shall suspend its right to terminate this Agreement or take any actions for the winding-up of the SPD or the appointment of a receiver or administrator in respect of the SPD's business or assets, until the time period available to the Lenders to exercise their step-in or substitution rights has expired; and (iv) shall agree that upon the occurrence of any SPD Event of Default, if the Lenders exercise their substitution rights and identify a Selectee, the Procurer and RUMSL shall execute all necessary documents and provide all consents required to novate this Agreement in favour of the Selectee.

  • Support and Services ISD and HC agree to the following conditions: A. HC agrees to the following for both the mathematics and English language arts courses: i. To share data and provide feedback regarding student success on entry‐level college mathematics and English language arts courses; ii. To train advisors to recognize and honor course(s) on school district transcripts; iii. To ensure that eligible students are counseled directly into college level mathematics, English language arts, and all other courses that require mathematics and English language arts college readiness; B. HC agrees to the following for the college preparatory mathematics courses: i. To provide the Student Learning Outcomes; ii. To provide the syllabi for the courses being offered. iii. To provide regular meetings between the HC faculty and ISD faculty teaching the course. C. HC agrees to the following for the college preparatory English language arts course: i. To provide the Student Learning Outcomes for Integrated Reading/Writing (INRW 0303) course; ii. To provide the syllabi, including types of essays required (i.e., expository, persuasive, and critical analysis). iii. To provide regular meetings between the HC faculty and ISD faculty teaching the course. D. ISD agrees to the following for both the mathematics and English language arts courses: i. To provide highly qualified instructors for the courses being taught; ii. To identify students who are not college ready as stated in HB 5; iii. To provide professional development and resources required to teach the mathematics and English language arts courses; iv. To identify successful completion of the course(s) on the student transcripts as determined by the State of Texas PEIMS number; v. To provide curriculum for the course that is consistent with HC Student Learning Outcomes; vi. To provide assistance with admission, enrollment, and financial aid applications; E. ISD agrees to the following for the college preparatory mathematics course: i. To teach a math course designed to focus on college mathematics (algebraic or non‐algebraic) concepts; ii. Require students to meet college readiness scores on the TSI Assessment; iii. To meet regularly with HC faculty. F. ISD agrees to the following for the college preparatory English language arts course: i. To teach an integrated Reading and Writing course that focuses on critical reading and college‐level writing; ii. Require students to meet college readiness scores on the TSI Assessment; iii. To meet regularly with HC faculty.

  • Tests, Labs, and Imaging and X rays (diagnostic)

  • Monitoring and Evaluation a. The AGENCY shall expeditiously provide to the COUNTY upon request, all data needed for the purpose of monitoring, evaluating and/or auditing the program(s). This data shall include, but not be limited to, clients served, services provided, outcomes achieved, information on materials and services delivered, and any other data required, in the sole discretion of the COUNTY, that may be required to adequately monitor and evaluate the services provided under this Contract. Monitoring shall be performed in accordance with COUNTY’S established Noncompliance Standards, a copy of which is attached hereto and incorporated by reference as Attachment “C”. b. The AGENCY agrees to permit persons duly authorized by the COUNTY to interview any clients and all current and/or former employees of the AGENCY to be assured of the AGENCY’S satisfactory performance of the terms of this Contract. c. Following such evaluation, monitoring, and/or audit, the COUNTY will deliver a report of its findings and recommendations with regard to the AGENCY’S conformance with this Contract’s terms and conditions to the AGENCY and/or Board of Directors’ President, and members, whenever applicable. If deficiencies are noted, a written notice of corrective action will be issued to the AGENCY which will specify deficiencies and provide a timeline for correction of those deficiencies. Within the designated timeframe in the written notice of corrective action, the AGENCY shall submit to the COUNTY’S CCC manager (“Manager”), or their designee, a corrective action plan to rectify all deficiencies identified by the COUNTY. d. Failure by the AGENCY to correct noted deficiencies, as outlined in the written notice of corrective action, may result in the AGENCY being deemed in breach of the Contract terms. e. The AGENCY shall cooperate with the COUNTY on all reviews to ensure compliance with all applicable COUNTY guidelines and requirements for general fund recipients.

  • Program Management 1.1.01 Implement and operate an Immunization Program as a Responsible Entity 1.1.02 Identify at least one individual to act as the program contact in the following areas: 1. Immunization Program Manager;

  • Financing Services The Manager shall: (i) identify and evaluate potential financing and refinancing sources, engaging a third party broker if necessary; (ii) negotiate terms of, arrange and execute financing agreements; (iii) manage relationships between the Company and its lenders, if any; and (iv) monitor and oversee the service of the Company’s debt facilities and other financings, if any.

  • Quality Assurance/Quality Control Contractor shall establish and maintain a quality assurance/quality control program which shall include procedures for continuous control of all construction and comprehensive inspection and testing of all items of Work, including any Work performed by Subcontractors, so as to ensure complete conformance to the Contract with respect to materials, workmanship, construction, finish, functional performance, and identification. The program established by Contractor shall comply with any quality assurance/quality control requirements incorporated in the Contract.

  • Project Monitoring Reporting and Evaluation The Recipient shall furnish to the Association each Project Report not later than forty-five (45) days after the end of each calendar semester, covering the calendar semester.

  • Training and Support Licensor shall offer installation support to the Licensee and each of the Members, including assisting with the implementation of any Licensor software. Licensor will provide appropriate training to Licensee and Member staff relating to the use of the Licensed Materials and any Licensor software. Licensor will offer reasonable levels of continuing support to assist Licensee and Members in use of the Licensed Materials, including providing help files and other appropriate user documentation in connection with the use of and access to Licensed Materials. Licensor will, at a minimum, make its personnel available by email, telephone or via the Web, or in person during Licensor’s regular business hours, Monday through Friday, for training and user access support.

  • COUNTY’S QUALITY ASSURANCE PLAN The County or its agent will evaluate the Contractor’s performance under this Contract on not less than an annual basis. Such evaluation will include assessing the Contractor’s compliance with all Contract terms and conditions and performance standards. Contractor deficiencies which the County determines are severe or continuing and that may place performance of the Contract in jeopardy if not corrected will be reported to the Board of Supervisors. The report will include improvement/corrective action measures taken by the County and the Contractor. If improvement does not occur consistent with the corrective action measures, the County may terminate this Contract or impose other penalties as specified in this Contract.
