FLEET INTRODUCTORY ASSISTANCE CREDIT. To assist JetBlue with the introduction of the Firm Aircraft into its fleet, IAE will issue a credit to JetBlue's account with IAE in the amount of U.S.[****] per A320 aircraft for each of the Firm First Deal Aircraft purchased by JetBlue and U.S.[****] per A320 aircraft for each of the Firm Second Deal Aircraft purchased by JetBlue.
FLEET INTRODUCTORY ASSISTANCE CREDIT. To assist AWA with introducing the Firm Aircraft, Growth A320 Aircraft and Option Aircraft into its fleet, IAE will provide the following fleet introductory assistance credits (the "Fleet Introductory Assistance Credit") to AWA:
FLEET INTRODUCTORY ASSISTANCE CREDIT. To assist Midway with introducing the spare Engine and the V2527-A5 propulsion systems for the Aircraft into its fleet, IAE will credit Midway's account with IAE in the amount of [***] at January, 1995 levels for each of the four Firm Aircraft. This credit will be issued to Midway on delivery of the corresponding Firm Aircraft to and acceptance by Midway of such Firm Aircraft. This credit may be used by Midway for the purchase of V2500 Spare Parts from IAE. Alternatively, with the consent of Airbus Industrie, IAE will, upon Midway's written notice to IAE at least ninety days prior to the delivery of the applicable Firm Aircraft, consent to the assignment of part or all of such credit to Airbus Industrie, to be applied toward the payment for the V2527-A5 propulsion systems for the corresponding Firm Aircraft.
FLEET INTRODUCTORY ASSISTANCE CREDIT. 2.1 To assist ACA with introducing A319-100 Aircraft into its fleet, IAE will credit ACA's account with IAE in the amount of U.S.[***] per Aircraft for each Firm and Option V2522-A5 powered A319-100 Aircraft. 2.2 To assist ACA with introducing A319-100 Aircraft into its fleet, IAE will credit ACA's account with IAE in the amount of U.S.[***] per Aircraft for each Firm and Option V2524-A5 powered A319-100 Aircraft. 2.3 To assist ACA with introducing A320-200 Aircraft into its fleet, IAE will credit ACA's account with IAE in the amount of U.S.[***] per Aircraft for each Firm and Option V2527-A5 powered A320-200 Aircraft. 2.4 To assist ACA with introducing A321-200 Aircraft into its fleet, IAE will credit ACA's account with IAE in the amount of U.S.[***] per Aircraft for each Firm and Option V2533-A5 powered A321-200 Aircraft. 2.5 Each such credit set forth in Clauses 2.1, 2.2, 2.3 and 2.4 above is subject to escalation, in accordance with the IAE Escalation Formula set forth in Exhibit B-2 to the Contract, from the base month of [***] to the earlier of (a) the date set forth in Exhibit B of the Contract as the scheduled delivery date of the corresponding Aircraft (as such may be varied pursuant to the terms of the Contract) or (b) the actual delivery date of the corresponding Aircraft unless otherwise provided for herein. 2.6 Each of the credits set forth in Clauses 2.1, 2.2, 2.3 and 2.4 above will be issued upon delivery to, and acceptance by, ACA of the corresponding Aircraft. 2.7 IAE hereby consents to the assignment by ACA of part or all of the credits offered under Clauses 2.1, 2.2, 2.3 and 2.4 above to Airbus, to be applied toward the payment for the Propulsion Systems for the corresponding Aircraft. Unless ACA notifies IAE in writing to the contrary at least [***] days prior to delivery of each applicable Aircraft, IAE will assume that ACA has requested that IAE so assign such credits to Airbus. In the event any credit, or portion thereof, under this Clause 2 is assigned to Airbus, ACA agrees that the credit shall not vest with Airbus until delivery to, and acceptance by, ACA of the respective Aircraft. Alternatively, upon ACA's written notice to IAE at least [***] days prior to delivery of each applicable Aircraft, all or part of each such credit described in Clauses 2.1, 2.2, 2.3 and 2.4 above may be used by ACA towards the purchase of V2500 Spare Parts, tooling and/or services from IAE.

  • Directory Assistance 72.1 The Parties acknowledge that CenturyLink is not a Directory Assistance (DA) provider. CenturyLink provides directory listings information for its subscribers to third party DA providers to be included in the national and local databases used by such third party providers. The Parties agree that to the extent the DA provider contracted by CLEC for DA services to CLEC’s subscribers also populates the national DA database, then CLEC’s DA listings have been made available to CenturyLink’s subscribers and no further effort is needed by either Party. If for any reason, CLEC desires that CenturyLink act as a middleman conduit for the placement of CLEC’s DA listings in the DA database(s), then CenturyLink shall provide such compensable DA listings service pursuant to separate written terms and conditions between CenturyLink and CLEC which will be attached to this Agreement as an Amendment.

  • Directory Assistance Service 8.3.1 Directory Assistance Service provides local end user telephone number listings with the option to complete the call at the caller's direction separate and distinct from local switching.

  • Directory Assistance Service Updates 8.3.3.1 BellSouth shall update end user listings changes daily. These changes include: 8.3.3.1.1 New end user connections 3.3.1.2 End user disconnections

  • Mandatory Assistance If a third party dispute or litigation, or both, arises out of, or relates in any way to the services provided to the City under a Contract, Contractor , its agents, officers, and employees agree to assist in resolving the dispute or litigation upon City’s request. Contractor’s assistance includes, but is not limited to, providing professional consultations,

  • Payments for Distribution Assistance and Administrative Support Services (a) Payments to the Distributor. In consideration of the payments made by the Fund to the Distributor under this Plan, the Distributor shall provide administrative support services and distribution services to the Fund. Such services include distribution assistance and administrative support services rendered in connection with Shares (1) sold in purchase transactions, (2) issued in exchange for shares of another investment company for which the Distributor serves as distributor or sub-distributor, or (3) issued pursuant to a plan of reorganization to which the Fund is a party. If the Board believes that the Distributor may not be rendering appropriate distribution assistance or administrative support services in connection with the sale of Shares, then the Distributor, at the request of the Board, shall provide the Board with a written report or other information to verify that the Distributor is providing appropriate services in this regard. For such services, the Fund will make the following payments to the Distributor:

  • Routing for Operator Services and Directory Assistance Traffic For a Verizon Telecommunications Service dial tone line purchased by CBB for resale pursuant to the Resale Attachment, upon request by CBB, Verizon will establish an arrangement that will permit CBB to route the CBB Customer’s calls for operator and directory assistance services to a provider of operator and directory assistance services selected by CBB. Verizon will provide this routing arrangement in accordance with, but only to the extent required by, Applicable Law. Verizon will provide this routing arrangement pursuant to an appropriate written request submitted by CBB and a mutually agreed-upon schedule. This routing arrangement will be implemented at CBB's expense, with charges determined on an individual case basis. In addition to charges for initially establishing the routing arrangement, CBB will be responsible for ongoing monthly and/or usage charges for the routing arrangement. CBB shall arrange, at its own expense, the trunking and other facilities required to transport traffic to CBB’s selected provider of operator and directory assistance services.

  • Conditions to Financial Assistance and its Disbursement The Grantor's obligations hereunder, including its obligation to make financial assistance available to the Recipient pursuant to the terms of this Agreement, are contingent upon compliance by the Recipient with the following conditions: A. Recipient's acquisition and commitment of the Local Subdivision Contribution necessary for the completion of the Project, its compliance with all other provisions of this Agreement, and its compliance with the provisions of Chapter 164 of the Revised Code and Chapter 164-1 of the Administrative Code. The Recipient shall set forth in Appendix D of this Agreement a description of the manner or mechanisms of providing its local share of Project funds pursuant to division (D) of Section 164.05 of the Revised Code and Rule 164-1-21 (B)(6) of the Administrative Code. B. Recipient shall execute any and all other documents and certificates as deemed necessary by the Director, subject to the opinion of counsel to the Director, as well as any required by changes in State or Federal Law, on the date hereof or at any time hereafter in connection with the financial assistance and disbursement of moneys pursuant to this Agreement, including any amendments to this Agreement.

  • Administrative Support Service Fees Within forty-five (45) days of the end of each calendar quarter, the Fund will make payments in the aggregate amount of 0.0625% (0.25% on an annual basis) of the average during that calendar quarter of the aggregate net asset value of the Shares computed as of the close of each business day (the "Service Fee"). Such Service Fee payments received from the Fund will compensate the Distributor for providing administrative support services with respect to Accounts. The administrative support services in connection with Accounts may include, but shall not be limited to, the administrative support services that a Recipient may render as described in Section 3(b)(i) below.

  • Emergency Assistance Both Parties shall exercise due diligence to avoid or mitigate an Emergency to the extent practical in accordance with applicable requirements imposed by the Standards Authority or contained in the PJM Tariffs and NYISO Tariffs. In avoiding or mitigating an Emergency, both Parties shall strive to allow for commercial remedies, but if commercial remedies are not successful or practical, the Parties agree to be the suppliers of last resort to maintain reliability on the system. For each hour during which Emergency conditions exist in a Party’s Balancing Authority Area, that Party (while still ensuring operations within applicable Reliability Standards) shall determine what commercial remedies are available and make use of those that are practical and needed to avoid or mitigate the Emergency before any Emergency Energy is scheduled in that hour.

  • Long Term Cost Evaluation Criterion 4. READ CAREFULLY and see in the RFP document under "Proposal Scoring and Evaluation". Points will be assigned to this criterion based on your answer to this Attribute. Points are awarded if you agree not increase your catalog prices (as defined herein) more than X% annually over the previous year for the life of the contract, unless an exigent circumstance exists in the marketplace and the excess price increase which exceeds X% annually is supported by documentation provided by you and your suppliers and shared with TIPS, if requested. If you agree NOT to increase prices more than 5%, except when justified by supporting documentation, you are awarded 10 points; if 6% to 14%, except when justified by supporting documentation, you receive 1 to 9 points incrementally.
