Flow Down. For all Covered Transactions, including all tiers of subcontracts and subawards, the Recipient shall:
(1) require the XXX check in section 2;
(2) require the certifications in section 3;
(3) include the prohibition in section 4; and
(4) require all Participants to notify the Recipient in writing of any information that would require the Recipient to notify the USDOT under section 5.
Flow Down. The Recipient agrees to require all Third Party Participants to flow this requirement down to participants at all lower tiers, without regard to the value of any subagreement.
Flow Down. The Base Agreement Awardee shall include this Article, suitably modified to identify all parties, in all or subawards. This Article shall, in turn, be included in all sub-tier subawards or other forms of lower tier agreements, regardless of tier. The government will be a third party in interest for purposes of this Article in any agreement where flow-down of rights and obligations is required. PUBLICATION AND ACADEMIC RIGHTS
Flow Down. Contractor shall require each Subcontractor and each Subcontractor shall require each Sub-subcontractor, to be bound by these General Conditions and any Supplemental General Conditions, and to assume toward Contractor and Subcontractor, as the case may be, all of the obligations and responsibilities the Contractor assumes toward the Owner, unless (i) the same are clearly inapplicable to the contract at issue because of legal requirements or industry practices, or (ii) Contractor requests specific exceptions that Owner approves in writing.
Flow Down. Any reference in this clause to Contractor also includes any subcontractor at any tier. Contractor is responsible for, and shall impose by agreement the requirements of this clause on, any other person or entity that contractor authorizes to take action related to government information.
Flow Down. The Bus Testing requirements should not flow down, except to the turnkey contractor as stated in Master Agreement.
Flow Down. (a) In accepting financial assistance for a Project, the Recipient is responsible for ensuring the compliance with the protections provided in this award term B.5. The Recipient shall make the acceptance of this award term B.5 a condition of any new contract (or incorporate its terms into any existing contract by amendment) that uses funds subject to the requirements of 49 U.S.C. § 22905(c). These conditions shall apply to a Recipient, any Railroad and any contractor of any tier with which the Recipient contracts using funds subject to the requirements of 49 U.S.C. § 22905(c).
(b) The Recipient shall require in an agreement (either in a new agreement or as an amendment to an existing agreement) with a Railroad owning the right-of-way to be improved by a Project that the Railroad notify its employees (or their representatives) of the Project being funded with financial assistance subject to 49 U.S.C. § 22905(c) and the applicability of these protections.
(c) Any Railroad employee (or their representatives) may notify a Recipient of a dispute or controversy relating to the requirements of this award term B.5 to ensure compliance with 49 U.S.C. § 22905(c)(2)(B).
Flow Down. The Patent and Rights in Data requirements apply to all contractors and their contracts at every tier.
Flow Down. The PAH shall flow down the requirements of this Article VIII to their respective personnel, member entities, agents, subawardees (including employees) at all levels, receiving such Confidential Information under this OTA.
Flow Down. These provisions are applicable to all contracts and Subcontracts at every tier.
