If Siebel does not accept the Deliverables pursuant to Section 2.2 of the Agreement, Siebel shall have no obligation to pay the [*] Royalty Pre-Payment. If and when Siebel accepts the related Deliverables, the associated Royalty Pre-Payment shall become nonrefundable.
