INTERNATIONAL REQUIREMENTS. You agree to accept full responsibility to ensure that you and your travelers are knowledgeable about and in full compliance with any and all: (i) visa, passport and health documentation requirements; (ii) applicable local and international laws, rules or regulations (collectively the “International Requirements”), regarding any and all international travel booked through the Product. In no event will we have any responsibility for advising you or your travelers of International Requirements and we shall have no liability for your failure to be knowledgeable about or in full compliance with the International Requirements. In addition, only electronic tickets will be issued for international reservations originating outside of the United States. If an electronic ticket cannot be issued for any reason, the Product reservation will be released to the traditional booking office for fulfillment and additional charges may apply.

INTERNATIONAL REQUIREMENTS. Where Contractor’s Personnel carry out Work on an offshore Worksite controlled by Company: · Contractor’s Personnel traveling offshore outside the United States of America shall be in possession of a valid passport, · Contractor’s Personnel traveling offshore shall be fit and free from illness, · Contractor’s Personnel traveling offshore shall notify Company’s representative of any medical conditions that may adversely affect his health or safety, or the health and safety of others, · Contractor’s Personnel traveling offshore shall notify Company’s representative of any medication being taken, · Contractor shall hold a current medical certificate issued in accordance with the UKOOA Guidelines for “Medical Aspects of Fitness for Offshore Work” for all Contractor’s Personnel traveling offshore, Master Service Agreement No: SCH003-11 Effective Date: 27 December, 2016 · Contractor shall hold a current survival certificate issued in accordance with the UKOOA Guidelines for “Offshore Emergency Training” for all Contractor’s Personnel traveling offshore. Contractor shall provide evidence to Company on request that Contractor’s Personnel hold medical and survival certificates.
INTERNATIONAL REQUIREMENTS. Vendor shall adhere to all applicable regulatory requirements pertaining to privacy and handling of customer information, including those that become applicable by reason of international business activities of Client or Vendor. Vendor shall not use any processing facility located outside the United States to process any data relating to Client or its customers or otherwise transmit any data relating to Client or its customers across national borders without Client’s express written consent. If Vendor proposes to do so, Vendor shall ensure that all related processing facilities and systems comply with all applicable laws, regulations, treaties, and other legal requirements of the United States, all other affected countries, and any international organizations having jurisdiction, including without limitation, those with regard to data security and privacy, data processing and transmittal of data across national borders.

  • Federal Requirements In the event this Contract is paid in whole or in part from any federal government agency or source, the specific terms, regulations and requirements governing the disbursement of these funds shall be specified herein and become a part of this clause.

  • Special Requirements Additional terms and conditions of this Agreement, if any, which are made a part hereof are set forth in the “Special Requirements” attached hereto as Exhibit “B” and incorporated herein by this reference. In the event of a conflict between the provisions of Exhibit “B” and any other provisions of this Agreement, the provisions of Exhibit “B” shall govern.

  • Compliance with Governmental Requirements Comply with all laws, ordinances, and regulations, now or hereafter in effect, of all governmental authorities applicable to the conduct of Borrower’s properties, businesses and operations, and to the use or occupancy of the Collateral, including without limitation, the Americans With Disabilities Act. Borrower may contest in good faith any such law, ordinance, or regulation and withhold compliance during any proceeding, including appropriate appeals, so long as Borrower has notified Lender in writing prior to doing so and so long as, in Lender’s sole opinion, Lender’s interests in the Collateral are not jeopardized. Lender may require Borrower to post adequate security or a surety bond, reasonably satisfactory to Lender, to protect Lender’s interest.

  • Additional Requirements As a condition precedent to the execution and Delivery, the registration of issuance, transfer, split-up, combination or surrender, of any ADS, the delivery of any distribution thereon, or the withdrawal of any Deposited Property, the Depositary or the Custodian may require (i) payment from the depositor of Shares or presenter of ADSs or of an ADR of a sum sufficient to reimburse it for any tax or other governmental charge and any stock transfer or registration fee with respect thereto (including any such tax or charge and fee with respect to Shares being deposited or withdrawn) and payment of any applicable fees and charges of the Depositary as provided in Section 5.9 and Exhibit B, (ii) the production of proof reasonably satisfactory to it as to the identity and genuineness of any signature or any other matter contemplated by Section 3.1, and (iii) compliance with (A) any laws or governmental regulations relating to the execution and Delivery of ADRs or ADSs or to the withdrawal of Deposited Securities and (B) such reasonable regulations as the Depositary and the Company may establish consistent with the provisions of the representative ADR, if applicable, the Deposit Agreement and applicable law.

  • Personnel Requirements a. The CONTRACTOR shall secure, at the CONTRACTOR'S own expense, all personnel required to perform this Contract. b. The CONTRACTOR shall ensure that the CONTRACTOR'S employees or agents are experienced and fully qualified to engage in the activities and perform the services required under this Contract, and that all applicable licensing and operating requirements imposed or required under federal, state, or county law, and all applicable accreditation and other standards of quality generally accepted in the field of the activities of such employees and agents are complied with and satisfied.

  • Governmental Requirements The Provider warrants and represents that it will comply with all governmental ordinances, laws and regulations.

  • Safety Requirements The Contractor shall comply with all Federal, State, and local safety laws and regulations applicable to the Work performed under this Agreement.
