Seller Deliverables definition

Seller Deliverables has the meaning set forth in Section 9.2(b).

Seller Deliverables means all drawings, plans, studies, reports, calculations, specifications, pictures, videos, test results, manuals, completion certificates, completion procedures, checklists, documents, and other similar items necessary for the successful completion of the Work.

Seller Deliverables has the meaning set forth in Section 2.4(a).

Examples of Seller Deliverables in a sentence

• The originals and copies of Seller Deliverables delivered to Buyer pursuant to Section 3.1 hereof are true, correct and complete originals or copies of the respective documents, instruments, agreements or other items, and Seller is not aware of any material inaccuracy or omission in the information in Seller Deliverables.

• The Sellers shall have delivered the Seller Deliverables in accordance with Section 2.4(a).

• The Seller shall have delivered to the Escrow Agent the Seller Deliverables.

• OpCo Purchaser shall have received each of the Seller Deliverables to be delivered to OpCo Purchaser pursuant to Section 3(b).

• Assuming the execution and delivery by the other Parties to this Agreement and the Seller Deliverables to which Seller is a Party, this Agreement and such Seller Deliverables, are the valid and binding obligations of Seller, enforceable against Seller in accordance with their terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar Laws of general applicability and to general equitable principles.

Seller Deliverables means, with respect to each Facility, the items listed in Exhibit C.
