Forms to Be Used. In requesting reimbursement, Contractors may use the regular Government voucher form, Standard Form 1034, “Public Voucher for Purchases and Services Other Than Personal,” and Standard Form 1035, “Continuation Sheet,” or the Contractor’s own invoice form. If the Contractor desires to use the Government’s standard forms, a request for the forms should be submitted to the Contracting Officer. If the Contractor uses his own invoice, the billing must conform with the instructions set forth herein.

Forms to Be Used. The changes to the Act are based upon a concept that requires the application ofindividual agreements”, between the Company and an Employee. The Act states that these “agreements” must be in writing and that they must contain the signatures of both parties to the “agreement”. In addition, the Act now contains a specific requirement that any payment in lieu of long service leave made to an Employee must be recorded on a form as prescribed by the Act, known as Schedule 2A. A copy of this form is attached to the memo and is basically self explanatory. We need to use the form headed “Application for Payment in Lieu of Long Service Leave” as the “individual agreement”. This form can be given to Employees when they make an inquiry or request for a payment in lieu of long service leave. This form must be fully completed and retained on the Employee’s file as proof of the individual agreement, as well as providing a copy to the Employee. The Act then specifies that we must also give a copy of Schedule 2A to the Employee when we actually make a payment in lieu of long service leave. The Act specifies that this form must be exactly as it appears on the attached form and not be altered in any way. A copy of this form must also be placed on the Employee’s file and then retained for at least three years after the Employee has left the Company.

The Growth PRIDES Certificates (including the form of Purchase Contracts forming part of the Growth PRIDES evidenced thereby) shall be in substantially the form set forth in Exhibit B hereto, with such letters, numbers or other marks of identification or designation and such legends or endorsements printed, lithographed or engraved thereon as may be required by the rules of any securities exchange on which the Growth PRIDES may be listed or any depositary therefor, or as may, consistently herewith, be determined by the officers of the Company executing such Growth PRIDES Certificates, as evidenced by their execution of the Growth PRIDES Certificates. The definitive Growth PRIDES Certificates shall be printed, lithographed or engraved on steel engraved borders or may be produced in any other manner, all as determined by the officers of the Company executing the Growth PRIDES evidenced by such Growth PRIDES Certificates, consistent with the provisions of this Agreement, as evidenced by their execution thereof. Every Global Certificate authenticated, executed on behalf of the Holders and delivered hereunder shall bear a legend in substantially the following form: THIS CERTIFICATE IS A GLOBAL CERTIFICATE WITHIN THE MEANING OF THE PURCHASE CONTRACT AGREEMENT (AS HEREINAFTER DEFINED) AND IS REGISTERED IN THE NAME OF THE CLEARING AGENCY OR A NOMINEE THEREOF. THIS CERTIFICATE MAY NOT BE EXCHANGED IN WHOLE OR IN PART FOR A CERTIFICATE REGISTERED, AND NO TRANSFER OF THIS CERTIFICATE IN WHOLE OR IN PART MAY BE REGISTERED, IN THE NAME OF ANY PERSON OTHER THAN SUCH CLEARING AGENCY OR A NOMINEE THEREOF, EXCEPT IN THE LIMITED CIRCUMSTANCES DESCRIBED IN THE PURCHASE CONTRACT AGREEMENT.
