Fully Paid-Up License. Upon expiration of the Term or earlier termination of this Agreement for any reason other than by API pursuant to Section 16.2 or by Abbott pursuant to Section 16.2(a) or Section 16.4 or by the Parties jointly pursuant to Section 16.3, Abboxx'x xxxense rights in API Intellectual Property Rights hereunder shall become fully paid-up and irrevocable.
Fully Paid-Up License. At such time as Illumina has paid the payment pursuant to section 5.1, Applera agrees that Illumina has a fully paid-up license for the Patents-In-Suit pursuant to section 4.5 of this Agreement and an irrevocable covenant not to xxx for the Blocking Patents pursuant to section 4.7, and no further sums are due under the license for the terms of the Patents-In-Suit.
Fully Paid-Up License. Upon expiration of the Royalty Term in any particular country, all licenses granted to BD under Section 2.1.1 shall, within such country, be deemed to be royalty-free, fully paid-up, perpetual and irrevocable.
Fully Paid-Up License. Upon the expiration of the last Valid Claim in the Licensed Patents, the License shall be fully paid-up, irrevocable and continue in perpetuity.
Fully Paid-Up License. Upon expiration of the Term or Extension Term in accordance with Section 13.1 and Section 13.2 above and provided that Taiho has made payments for all amounts due hereunder prior to the expiration, the rights and licenses granted to Taiho hereunder by Xxxx Xx shall become fully paid up.
Fully Paid-Up License. On a country-by-country and Licensed Product-by-Licensed Product basis, from and after the date of (1) with respect to those countries where there is a Valid Claim Covering a Licensed Product, the later of the expiration of the last-to-expire Valid Claim Covering such Licensed Product in such country or the date that is ten (10) years after the Launch of such Licensed Product in such country; or (2) with respect to those countries where there is no Valid Claim Covering a Licensed Product, the date that is ten (10) years after the Launch of such Licensed Product in such country (in each case such date referred to as the "ROYALTY EXPIRATION DATE" for such Licensed Product in such country), BLSI shall have a nonexclusive, fully paid, irrevocable, perpetual license in such country, with the right to grant sublicenses, under the Licensed Intellectual Property.
Fully Paid-Up License. Upon the expiration of the last Valid Claim in the Licensed Patents, the License shall be fully paid-up, irrevocable and continue in perpetuity; provided, however, that, in the event of the exercise of both Options, then the License shall be fully paid-up, irrevocable and continue in perpetuity (a) in the United States, upon Inpharma’s receipt of all option exercise payments described in Section 3.04(g)(i)(2), and (b) in Europe and Asia, upon Inpharma’s receipt of the initial payment referenced in Section 3.04(g)(i)(1) (in each case, if such payment occurs prior to the expiration of the last Valid Claim in the Licensed Patents).”
7. Section 8.04(a) of the License Agreement is hereby amended in its entirety as follows:
Fully Paid-Up License. Upon expiration of Abbott's obligation to pay Xxxxxxxr royalties for a Product or Improved Product, on a country by country and product by product basis, Abbott's license under the Xxxxxxed Patents and Proprietary Rights shall become fully paid-up and irrevocable for that product and in that country.
Fully Paid-Up License. Effective as of the Closing Date, Seller hereby grants to Buyer a non-exclusive, worldwide, irrevocable, perpetual and non-terminable, transferable, fully paid-up license or sublicense as applicable, including the right to sublicense, under all Patent Rights owned or controlled by Seller as of the Closing Date, including the rights granted by Braeburn Pharmaceuticals, Inc. (“Braeburn”) to Seller pursuant to the Termination and Support Agreement, dated May 25, 2018, entered into between Seller and Braeburn, that is necessary to Manufacture or Commercialize the Products (including the practice of the Patent Rights in such Manufacture or Comercialization).
Fully Paid-Up License. Upon the issuance of stock to Millimed under Section 3.1 and payment to Millimed of the payments due under Sections 3.2.1 and 3.2.2 above, the licenses granted to Xtent herein shall become fully paid-up and irrevocable except in compliance with the term and conditions set forth herein.
