Further Contracts. The Supplier acknowledges that if the Supplier defaults under the Contract CBH Grain may refuse to enter into further contracts with the Supplier.
Further Contracts. There is no compulsion on either the Council or the CEO to agree to a new Contract. The Council and/or the CEO may initiate discussions not later than 3 months prior to the expiry of the Term for the parties to enter into a new Contract for a further term with the Council making a decision to finalise those discussions not later than 1 month prior to the expiry of the term of this Contract. In the event that the Council and the CEO agree to a new contract, a new contract will be executed.
Further Contracts. From the Effective Date until the expiration of the Due Diligence Period, Sellers shall not enter into any new lease, or any other agreement relating to the Property, or modify, terminate or cancel any lease or any other agreement relating to the Property (collectively, “New Lease Agreements”), without Purchaser’s consent, not to be unreasonably denied, delayed and/or conditioned. After expiration of the Due Diligence Period, Sellers shall not enter into any New Lease Agreements without Purchaser’s consent, at its sole and absolute discretion. “Pre-Closing Leases” means leases, including leases existing as of the Effective Date and New Lease Agreements.
Further Contracts. During the Term hereof, Facility agrees that it shall not enter into any contract for the provision of Transportation Services on terms that are more favorable to the supplier of such services than the terms set forth herein (e.g., at a higher rate for transports in which the Facility is responsible for payment). During the Term hereof, Facility further agrees that it shall not designate any other supplier of Transportation Services as a preferred provider of Facility.
Further Contracts. Up to the earlier of the Closing or the termination of this Agreement, and except in the ordinary course of business, Contributor shall not, without Acquiror’s prior written approval (which approval may be withheld in Acquiror’s sole and absolute discretion), enter into any further agreements or contracts relating to the Property that cannot be terminated upon thirty (30) days’ notice without cost to Acquiror.
Further Contracts. Up to the earlier of the Closing with respect to such Property or the termination of this Agreement, no Seller shall, without Purchaser’s prior written approval (which approval may be withheld in Purchaser’s sole and absolute discretion) and except as provided in Section 12.A above with respect to Leases for storage space, enter into any further Contracts or leases relating to such Seller’s Properties, which cannot be terminated upon thirty (30) days notice without cost to Purchaser. Any Contracts which are approved by Purchaser pursuant to the provisions of this Section 12.C shall be deemed a Designated Contract hereunder and Purchaser shall assume at Closing the obligations of Seller arising thereunder to the extent that such obligations arise from and after the Closing Date.
Further Contracts. The parties shall execute and deliver all documents and perform all further acts that may be reasonably necessary to effectuate the provisions of this Contract.
Further Contracts. Buyer acknowledges that Seller has extensively marketed the Property for sale and that Seller has the right to continue discussions with interested parties and to enter into contracts with other potential buyers which would become effective upon termination of this Contract or default by Buyer hereunder; provided, however, Seller shall not enter into any agreement of the sale of the Property, or any part thereof, with any other party, nor negotiate for such purpose, during the Feasibility Period.
Further Contracts. Nothing in this Agreement is intended to or shall preclude the Parties from further contracting with each other, including with respect to extending the Consulting Period of or re-employing Ching, either during or after the term of this Agreement.
