Common use of GENERAL OPERATIONAL REQUIREMENTS Clause in Contracts

GENERAL OPERATIONAL REQUIREMENTS. Seller shall, at all times: (a) At its sole expense, operate and maintain the Facility (i) in accordance with the Requirements and (ii) in a manner that is reasonably likely to achieve the Annual Contract Quantity and result in a useful life for the Facility of not less than the Delivery Term; (b) At its sole expense, operate and maintain the Facility using a Qualified Operator in accordance with the Requirements; (c) Use qualified and trained personnel for managing, operating and maintaining the Facility and for coordinating with Buyer, and ensure that necessary personnel are available on-site or on-call twenty-four (24) hours per day during the Delivery Term; (d) Operate and maintain the Facility with due regard for the safety, security and reliability of the interconnected facilities and Transmission System; and (e) Comply with operating and maintenance standards recommended or required by the Facility’s equipment suppliers.

GENERAL OPERATIONAL REQUIREMENTS. Seller shall, at all times: (a) At its sole expense, operate and maintain the Facility (i) in accordance with the Requirements Requirements, consistent with Prudent Utility Practices, and (ii) in a manner that is reasonably likely to achieve maximize the Annual Contract Quantity output of Energy from the Facility and result in a useful life for the Facility of not less than the Delivery Termtwenty (20) years; (b) At its sole expense, operate and maintain the Facility using a Qualified Operator in accordance with the Requirements; (c) Use Employ qualified and trained personnel for managing, operating and maintaining the Facility and for coordinating with Buyer and Buyer’s Authorized Representative, and ensure that necessary personnel are available on-site or on-call twenty-four (24) hours per day during the Delivery Term; (dc) Operate and maintain the Facility with due regard for the safety, security and reliability of the interconnected facilities and the Transmission System; and (ed) Comply with operating and maintenance standards recommended or required by the Facility’s equipment suppliers; and comply in all material respects with operating and maintenance standards recommended by the Facility’s equipment suppliers.
