Operation and Maintenance of the Facility. Seller shall construct, operate and maintain, or cause to be constructed, operated and maintained, during the Term, at its sole cost and expense, the Facility, including all Interconnection Facilities, in accordance with Prudent Industry Practices, and otherwise in accordance with this Agreement. Except to the extent that the Facility is not available to produce Gas during a Scheduled Maintenance Outage or Unscheduled Maintenance Outage or as a result of a failure of performance that is excused in accordance with Article XIII, Seller shall use Commercially Reasonable Efforts to operate the Facility to produce and make available to Purchaser the Baseload Quantity on each Day during the Delivery Term.

(a) The Seller shall operate and maintain the Facility in accordance with this Agreement, any Operating Procedures developed in accordance with Section 5, the Technical Limits, Laws of Afghanistan, the Grid Operations Practices, the Seller Consents, and Prudent Utility Practices; provided, however, that the Seller may contract with an operations and maintenance contractor to operate and maintain the Facility; provided, further, that the appointment of an operations and maintenance contractor by the Seller shall not relieve the Seller of any of its obligations or potential liability regarding the insuring, operation or maintenance of the Facility or any liability whatsoever resulting from a breach of any term or condition of this Agreement.

During the Term of this Agreement, QF has the sole responsibility to, and will at its sole expense, manage, control, operate and maintain the Facility in accordance with all applicable Legal Requirements, applicable planning standards and operating policies of SERC and NERC, in accordance with the QF Interconnection Agreement, any applicable operating procedures developed by the Parties, Prudent Industry Practices and the requirements set forth in this Agreement. QF will (i) comply with all Legal Requirements applicable to QF and the Facility, and (ii) diligently seek, obtain, maintain, comply with and, as necessary, renew or modify from time to time, any and all Consents. QF and Georgia Power agree to coordinate scheduled outages of the Facility.

(a) Throughout the term of the Lease, the Lessee shall, at the Lessee’s sole cost and expense, operate, and maintain the Facility in good condition and repair and in accordance with all applicable laws, rules, ordinances, orders, and regulations. The Facility shall be operated and maintained in accordance with the operations plans, the Emergency Action Plan, and the Checklist as each may be amended. No material alterations in the Facility or its operation, as depicted in the record drawing and operations plan, shall be undertaken by the Lessee without the written approval of Reclamation, which shall not be unreasonably withheld. Reclamation will withhold such approval only to (i) ensure the structural and operational integrity of the South Canal or (ii) ensure that the operations of the Project are not otherwise interfered with. After modification to the Facility, the Lessee shall perform testing, related to such modification, as may be required by Reclamation to ensure the structural and operational integrity of the South Canal. The Lessee assumes full responsibility for any pollution caused by its operations of the Facility and agrees to indemnify the United States for damages caused by any such pollution.

Operation and Maintenance of the Facility. 4.1 Generator shall promptly notify Producer when Generator has received (a) all permits, permit modifications, and other regulatory approvals and notices, including such consents, waivers, approvals and notices from the Kentucky Public Service Commission or such other federal, state or local governmental authorities or regulatory bodies, and including appropriate accounting or ratemaking treatment relating to or in respect of this Agreement or the activities relating to the Facility or the Facility Site contemplated herein, in each case as Generator shall deem to be necessary, advisable or required in its sole discretion for the installation and use of the Facility and/or the Facility Site as contemplated in this Agreement (collectively, the “Generator Approvals”), and (b) any required Coal Vendor Consents (as defined in Section 10.1). At the earliest practicable time following: (i) the receipt of all Generator Approvals, Coal Vendor Consents and Producer Permits (as defined in Section 5.1) but not before; and (ii) the procurement of all required utilities and services under Section 4.2; Producer shall install the Facility on the Facility Site. Producer shall install, operate, repair and maintain the Facility on the Facility Site throughout the Term at the sole cost of Producer.
