General Services Fee. As compensation for his services during the term of this Agreement, Mr. Xxxxx xxxll receive a monthly fee, payable on the 15th of each month, beginning May 15, 2001, in the amount of $25,000.
General Services Fee. In consideration of the General Services, the Company shall pay LGA in the aggregate an annual fee equal to Five Hundred Thousand Dollars ($500,000) for each calendar year during the term hereof. Such fee shall be payable in equal monthly installments, in advance, on the first day of each month commencing on the first such day following the date hereof.

In consideration of the General Services, the Companies shall pay the Manager an annual fee payable in cash (the “Annual Fee”) equal to $2,500,000; provided, however, that the Manager, in its sole discretion and at any time upon written notice to the Companies, may increase such fee up to an amount equal to two percent (2%) of the annual EBITDA of the Borrower and the Subsidiaries on a consolidated basis. The Annual Fee shall be payable by the Companies in equal monthly installments in advance, on the first business day of each month commencing on the first such day following the date hereof. For purposes of this Section 2.1, “EBITDA”, “Borrower” and “Subsidiaries” shall have the meaning ascribed to such terms in that certain Credit Agreement, dated as of the date hereof, by and among Holdings, Columbia Lake Acquisition Corp., Xxxxxx Xxxxxxx Senior Funding, Inc. and the other parties listed therein.
General Services Fee. In consideration of the General Services, the Company shall pay LGP an annual fee payable in cash equal to One Million Dollars ($1,000,000.00) payable monthly in advance in equal monthly installments.
General Services Fee. The general services portion of the Service budget will be allocated among states by a formula, ten percent of which is an equal share per state and ninety percent based on relative revenues from state corporate income taxes and any other taxes for which a state uses the Service. The resulting amount is considered the “general services fee” for each Service member state. Training course registration fees will also be used to support training activities in the general services portion of the budget.

General Services Fee. From and after the Effective Date, no fee shall be owing or payable to the Managers in consideration of the performance of the General Services.

In consideration of the General Services, the Company shall pay the Advisor (or its designee or designees) an annual fee (the “Annual Fee”) payable in cash equal to one million dollars ($1,000,000); provided, however, that no such payments will be made at any time that an event of default under the Indenture has occurred and is continuing; provided, further that any portion of the Annual Fee that has not been paid during the continuation of such an event of default that is subsequently cured shall be promptly paid to the Advisor following such cure. In the event of a bankruptcy, liquidation or winding-up of the Company, the payment of all accrued and unpaid fees and other obligations under this Agreement shall be subordinated to the prior payment in full of all amounts due and owing under the Indenture and the Credit Agreement. Subject to the foregoing provisions of this Section 2.1, the Annual Fee shall be payable by the Company in equal monthly installments in advance, on the first business day of each month commencing on the first such day following the date of this Agreement, without regard to the amount of services actually performed by the Advisor.
