Governing Law; Jurisdiction; Process. (a) THIS AGREEMENT AND THE TRANSACTIONS CONTEMPLATED HEREBY SHALL BE GOVERNED BY AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF THE STATE OF COLORADO WITHOUT GIVING EFFECT TO PRINCIPLES THEREOF RELATING TO CONFLICTS OF LAW RULES THAT WOULD DIRECT THE APPLICATION OF THE LAWS OF ANOTHER JURISDICTION, EXCEPT TO THE EXTENT THAT IT IS MANDATORY THAT THE LAW OF ANOTHER JURISDICTION, WHEREIN OR ADJACENT TO WHICH THE ASSETS ARE LOCATED, SHALL APPLY.
(b) SUBJECT TO THE ARBITRATION AGREEMENT SET FORTH IN SECTION 15.10, BUYER AND SELLER CONSENT TO PERSONAL JURISDICTION IN ANY LEGAL ACTION, SUIT OR PROCEEDING WITH RESPECT TO THIS AGREEMENT IN ANY COURT, FEDERAL OR STATE, WITHIN THE CITY AND COUNTY OF DENVER, COLORADO, HAVING SUBJECT MATTER JURISDICTION AND WITH RESPECT TO ANY SUCH CLAIM, BUYER AND SELLER IRREVOCABLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM, OR ANY OBJECTION THAT BUYER OR SELLER MAY NOW OR HEREAFTER HAVE, THAT VENUE OR JURISDICTION IS NOT PROPER WITH RESPECT TO ANY SUCH LEGAL ACTION, SUIT OR PROCEEDING BROUGHT IN SUCH COURT IN THE CITY AND COUNTY OF DENVER, COLORADO, INCLUDING ANY CLAIM THAT SUCH LEGAL ACTION, SUIT OR PROCEEDING BROUGHT IN SUCH COURT HAS BEEN BROUGHT IN AN INCONVENIENT FORUM AND ANY CLAIM THAT BUYER OR SELLER IS NOT SUBJECT TO PERSONAL JURISDICTION OR SERVICE OF PROCESS IN SUCH CITY AND COUNTY OF DENVER, COLORADO FORUM.
Governing Law; Jurisdiction; Process. The corporate laws of the Province of Ontario shall govern all issues concerning the relative rights of the Company and its stockholders. All other questions concerning the construction, validity, enforcement and interpretation of this Agreement shall be governed by the internal laws of the State of Illinois, without giving effect to any choice of law or conflict of law provision or rule (whether of the State of Illinois or any other jurisdictions) that would cause the application of the laws of any jurisdictions other than the State of Illinois. Each party hereby irrevocably submits to the non-exclusive jurisdiction of the state and federal courts sitting within the City of Chicago, for the adjudication of any dispute hereunder or in connection herewith or with any transaction contemplated hereby or discussed herein, and hereby irrevocably waives, and agrees not to assert in any suit, action or proceeding, any claim that it is not personally subject to the jurisdiction of any such court, that such suit, action or proceeding is brought in an inconvenient forum or that the venue of such suit, action or proceeding is improper. Each party hereby irrevocably waives personal service of process and consents to process being served in any such suit, action or proceeding by mailing a copy thereof to such party at the address for such notices to it under this Agreement and agrees that such service shall constitute good and sufficient service of process and notice thereof. Nothing contained herein shall be deemed to limit in any way any right to serve process in any manner permitted by law.

Governing Law; Jurisdiction; Process. This Assignment and Consent shall be governed by and construed in accordance with the internal laws (and not the laws of conflicts) of the State of Delaware.

(a) This Agreement and the transaction contemplated hereby shall be governed by and interpreted in accordance with the laws of the State of Wyoming without giving effect to principles thereof relating to conflicts of law rules that would direct the application of the laws of another jurisdiction.
(b) Subject to the arbitration agreement set forth in Section 16.8, Buyer and Sellers consent to personal jurisdiction in any legal action, suit or proceeding with respect to this agreement in the Federal District Court in Denver, Colorado, and with respect to any such claim, Buyer and Sellers irrevocably waive, to the fullest extent permitted by law, any claim, or any objection that Buyer or Sellers may now or hereafter have, that venue or jurisdiction is not proper with respect to any such legal action, suit or proceeding brought in such court in the City and County of Denver, Colorado, including any claim that such legal action, suit or proceeding brought in such court has been brought in an inconvenient forum and any claim that Buyer or Sellers are not subject to personal jurisdiction or service of process in such City and County of Denver, Colorado, forum.

THIS AGREEMENT AND THE TRANSACTIONS CONTEMPLATED HEREBY SHALL BE GOVERNED BY AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO PRINCIPLES THEREOF RELATING TO CONFLICTS OF LAW RULES THAT WOULD DIRECT THE APPLICATION OF THE LAWS OF ANOTHER JURISDICTION; PROVIDED, HOWEVER, THAT MATTERS CONCERNING TITLE TO AND OPERATIONS UNDER THE SHARED RISK CONTRACTS AND THE EXISTENCE AND EXTENT OF ENVIRONMENTAL CONDITIONS SHALL BE GOVERNED AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF BOLIVIA.

B. Subject to the arbitration agreement in 6.7, the Parties consent to personal jurisdiction in any legal action, suit or proceeding with respect to this Agreement in any court, federal or state, located in Dallas, Texas, having subject matter jurisdiction and with respect to any such claim, the Parties irrevocably waive, to the fullest extent permitted by law, any claim, or any objection that the Parties may now or hereafter have, that venue or jurisdiction is not proper with respect to any such legal action, suit or proceeding brought in such court in Dallas, Texas, including any claim that such legal action, suit or proceeding brought in such court has been brought in an inconvenient forum and any claim that the Parties are not subject to personal jurisdiction or service of process in such Dallas, Texas forum.

Each of Buyer and Seller hereby consents to the non-exclusive jurisdiction of the courts of the State of New York and of the Federal Court of the United States for the Southern District of New York in any action brought in connection with this Agreement except as provided in Section 7(e) hereof.
