Governing Law, Place of Jurisdiction. This Agreement shall be governed by the laws of the State of New York, USA, without regard to any conflicts of laws concepts that would apply the substantive law of some other jurisdiction. Any disputes arising out of this Agreement or any other stipulations in connection with this Agreement are to be decided by the competent court of law. Place of jurisdiction for both Parties is New York, NY, US, and each Party irrevocably submits to the exclusive jurisdiction of and laying of venue in such courts. Notwithstanding the foregoing, each Party shall have the right to seek injunctive or other equitable relief from any court of competent jurisdiction as may be necessary to avoid irreparable harm, without the need to post any security.
Governing Law, Place of Jurisdiction. These GBTC and the contract which they form part of, shall be governed by the Czech law. The court locally competent to resolve any disputes arising out of the contract is the general court of CHB.

20.2 Any action or other legal proceedings (“Proceedings”) arising out of or in connection with this Agreement shall be brought in the District Court (Landgericht) in Frankfurt am Main, Federal Republic of Germany.

This Agreement shall be governed by, and construed in accordance with the laws of Germany without giving effect to the conflict of laws rules thereof or the United Nations Convention on Contracts for the International Sale of Goods 1980 (CISG). This CDPA shall be governed by the same law as the Cloud Service Agreement, unless the Cloud Service Agreement is governed by the law of a third country outside the EU/EEA, in which case the law of the Federal Republic of Germany shall apply to this CDPA. Any disputes arising out of or in connection with this CDPA shall be subject to the exclusive jurisdiction of the court agreed between the Parties in the Cloud Service Agreement, unless the Parties have agreed in the Cloud Service Agreement that a court in a third country outside the EU/EEA shall have jurisdiction, in which case the competent courts in Berlin, Germany shall have exclusive jurisdiction over any disputes arising out of or in connection with this CDPA.
