Government Accounts Receivable Accounts. “(a) To facilitate the transfer to the Purchaser of proceeds for services provided after the Effective Time only, from accounts receivable that are not assignable under applicable Law (each, a “Government Accounts Receivable Account” and collectively, the “Government Accounts Receivable Accounts”), the Sellers shall provide, in a form reasonably acceptable to the Purchaser, disposition instructions to each bank at which a Government Accounts Receivable Account is held instructing that all funds deposited into each such Government Accounts Receivable Account shall be transferred, beginning after the thirtieth (30th) day following the Closing Date, into an account in the name and subject to the control of the Purchaser.”

Government Accounts Receivable Accounts. (a) To facilitate the transfer to the Purchaser of proceeds for services provided after the Effective Time only, from accounts receivable that are not assignable under applicable Law, the Sellers shall establish one or more bank accounts (each, a “Government Accounts Receivable Account” and collectively, the “Government Accounts Receivable Accounts”) with JPMorgan Chase Bank, NA (“Agent”) on or before the Closing Date. The Sellers shall use commercially reasonable efforts to seek to cause the Government Payors to change their respective pay-to addresses such that proceeds from each accounts receivable for which a Government Payor is the account debtor, with respect to services provided after the Effective Time only, shall be deposited directly into the Government Accounts Receivable Accounts. The Sellers shall provide the Purchaser periodic updates regarding such efforts as the Purchaser may reasonably request from time to time.

  • Collection of Accounts Receivable Without limiting the generality of the provisions of Section 5.2, prior to the Closing, Seller and its Subsidiaries shall collect all Accounts Receivable in the ordinary course of business, consistent with Seller’s and its Subsidiaries’ past practice with respect to the Acquired Assets. From and after the Closing, Purchaser shall have the sole right and authority to collect for its own account all Accounts Receivable and to endorse with the name of Seller and its Subsidiaries any checks or drafts received with respect to any such Accounts Receivable. If not collected within 90 days from the Closing Date, Seller and its Subsidiaries shall pay promptly to Purchaser the amount of any uncollected Accounts Receivable in cash, and Purchaser shall assign and transfer back to Seller and its Subsidiaries each such Accounts Receivable for collection by Seller and its Subsidiaries; provided that Seller and its Subsidiaries shall not take any action in connection with such collection that would adversely affect Purchaser’s ongoing business relationship with the customer(s).

  • Lockbox Accounts The names and addresses of all the Lockbox Banks, together with the account numbers of the Lockbox Accounts of the Seller at each Lockbox Bank and the post office box numbers of the lockboxes, are listed on Schedule 6.1(o) (or have been notified to and approved by the Agents in accordance with Section 7.3(d)) and are the only post office boxes and accounts into which Collections of Receivables are deposited or remitted. To the extent there is inventory not listed on Schedule 5.7 of a quality and quantity not usable or saleable in the ordinary course of business within one year, in lieu of a claim for indemnification, Buyer shall sell and the Selling Shareholders shall purchase such items of inventory at the value carried on the Final Closing Balance Sheet. All inventories not written off are stated at the lower of cost or market.
