Government Notification. Seller and Purchaser have filed with the United States Federal Trade Commission (the "FTC") and the Antitrust Division of the United States Department of Justice (the "Antitrust Division") pursuant to HSR Act, the notification and documentary material required in connection with the acquisition of the Purchased Assets by Purchaser, pursuant to this Agreement. Seller and Purchaser shall as soon as practicable, comply with any request for additional information and documentary practicable, comply with any request for additional information and documentary material received from the FTC or Antitrust Division and shall coordinate and cooperate with one another in exchanging such information and providing such reasonable assistance as may be requested in connection with such request.

Government Notification. Buyer and Sellers shall use commercially reasonable efforts to obtain all authorizations or waivers required under the HSR Act, and under any foreign ownership, competition or title registration statutes of Australia, Canada, Singapore, United Kingdom, Venezuela, Malaysia, Brazil and Thailand, to consummate the transactions contemplated hereby, including without limitation, making all filings required in connection therewith.
Government Notification. Sellers and Parent hereby covenant to Buyer, and Buyer hereby covenants to Sellers and Parent, that the parties will proceed promptly with the preparation and filing of any required notification and documentation under (i) Title II of the HSR Act and the rules of the Federal Trade Commission ("FTC") thereunder ("thx "XXX Xxxxxx"). Xxom the date hereof to the Closing, the parties will cooperate in attempting to secure the expiration of the waiting period prescribed under the HSR Act at the earliest practicable date. Each of Sellers, Parent and Buyer will use its reasonable efforts to obtain any clearance required under the HSR Act for the purchase and sale of the Purchased Assets in accordance with the terms and conditions hereof. The filing fee required under the HSR Act and the rules of the FTC will be paid by Buyer. Notwithstanding the foregoing, nothing contained in this Agreement will require or obligate Buyer or its Affiliates (i) to initiate, pursue or defend any litigation (or threatened litigation) to which any Governmental Authority (including the Antitrust Division of the Justice Department or the FTC) is a party; (ii) to agree or otherwise become subject to any material limitations on (A) the right of Buyer or its Affiliates effectively to control or operate the Business after the Closing or the business or operations of Buyer or any Affiliate of Buyer, (B) the right of Buyer or its Affiliates to acquire or hold the Business, or (C) the right of Buyer to exercise full rights of ownership of the Business or all or any material portion of the Purchased Assets; or (iii) to agree or otherwise be required to sell or otherwise dispose of, hold separate (through the establishment of a trust or otherwise), or divest itself of all or any portion of the business, assets or operations of Buyer, any Affiliate of Buyer or the Business. Sellers and Parent agree that no representation, warranty or covenant of Buyer in this Agreement shall be breached or deemed breached as a result of the failure by Buyer to take any of the actions specified in the preceding sentence.
Government Notification. Biopure agrees that it will notify Dechra of any incidents pertaining to the manufacture of any Product that would require notification to Governmental Authorities.
