Government or University Funding. No funding, facilities or personnel of any Governmental body or any university, college, other educational institution or research center were used, directly or indirectly, in the development of any Company-Owned IP Rights.
Government or University Funding. No funding, facilities, or personnel of any Governmental Authority were used to develop or create, in whole or in part, any Company Intellectual Property. No Governmental Authority, university, college, other educational institution, multi-national, bi-national or international organization or research center (i) owns or otherwise holds, or has the right to obtain, any rights to any Company Intellectual Property, (ii) has imposed or purported to impose, or has the right, whether contingent or otherwise, to impose, any obligations or restrictions on the Company and each of its Subsidiaries with respect to the licensing or granting of any Intellectual Property, or (iii) is entitled to receive any royalties or other payments from the Company or its Subsidiaries.
Government or University Funding. No funding, facilities, resources or personnel of any Governmental Entity or university, college, other educational institution, multi-national, bi-national or international organization or research center was used in the development or creation of Intellectual Property for the Company.
Government or University Funding. No (i) government funding or (ii) facilities or resources of a university, college, other educational institution or research center were used in the development of, and no such entity has any claim or right to, Company-Owned IP or Company Products. No current or former Contributor performed services for, operated under any funding or grants from or utilized the facilities of any government, university, college or other educational institution or research center, during a period of time during which such Contributor was also performing services for a Group Company. The Company Group (and, with respect to the Business, Parent, Seller or its Affiliates other than the Group Companies) is not and has not been a member or promoter of, or contributor to, any industry standards body or similar organization that could require or obligate the Company Group (or, with respect to the Business, Parent, Seller or its Affiliates other than the Group Companies) to grant or offer to any other Person any license or right to any Company IP.

No funding, facilities, or personnel of any Governmental Authority were used, directly or indirectly, to develop or create, in whole or in part, any material Company Owned IP. No Governmental Authority, university, college, other educational institution, multi-national, bi-national or international organization or research center (i) owns or otherwise holds, or has the right to obtain, any rights to any Company Owned IP, (ii) has imposed or purported to impose, or has the right, whether contingent or otherwise, to impose, any obligations or restrictions on the Acquired Companies (or, following the Closing, on Buyer) with respect to the licensing or granting of any Intellectual Property Rights, or (iii) is or may become entitled to receive any royalties or other payments from the Acquired Companies (or, following the Closing, Buyer).
