Governmental and Third Party Consents and Approvals. No consent, approval, order or authorization of, or registration, qualification, designation, declaration or filing with any court, governmental agency, regulatory authority or political subdivision thereof, or any other entity, is required for the execution, delivery and performance by CNET of this Agreement in order to consummate the transactions contemplated in this Agreement. None of such filings and qualifications are the subject of any pending or, to the knowledge of CNET, threatened attack by appeal or direct proceeding or otherwise.
Governmental and Third Party Consents and Approvals. Any governmental and third party approvals and consents required in connection with the transactions contemplated hereby shall have been obtained on terms reasonably satisfactory to the Administrative Agent and shall be in full force and effect.

Buyer shall have received all requisite consents and approvals of all third parties whose consent or approval is required (including any governmental agencies, departments, bureaus, commissions or similar bodies, the consent, authorization or approval of which is necessary under any applicable law, rule, order or regulation) for the consummation by Buyer of the transactions contemplated by this Agreement.

This subsection 6.1(i) shall not apply with respect to the issuance of the Convertible Preferred to the extent such issuance has not been consummated on or prior to the Closing Date.

The execution, delivery and performance of this Agreement by each Seller and the consummation by each Seller of the transactions contemplated hereby do not and will not require any consent, approval, authorization or other order of, action by, declaration or filing with or notification to, any Person, including, any Governmental Authority, by the Company or any Seller, except as described in Section 3.05 of the Disclosure Schedule. The Administrative Agent shall have received certified copies of any and all such necessary approvals, authorizations, or consents of, or notices to, or registrations with any Governmental Authority or other third party required for the Credit Parties to enter into, or perform its obligations under, the Transaction Documents. All such consents, authorizations, permits, approvals, notes and filings shall be in full force and any conditions therein shall have been satisfied.
