Guaranteed Minimum Purchases. Subject to Sections 5.7 and 20.2 hereof, PHARMAVITE agrees to purchase at least ***** (amount omitted) of the Licensed Ingredient in the period from ***** (term omitted), and subject to Section 6.2, FORBES guarantees that it will deliver to PHARMAVITE such amount of the Licensed Ingredient pursuant to PHARMAVITE’s purchase orders for the Licensed Ingredient given in accordance with Section 6.3 of this Agreement. In the ***** (term omitted), PHARMAVITE will notify FORBES of the number of ***** (amount omitted) of the Licensed Ingredient that it agrees it will purchase during the remaining current term of this Agreement, subject to Sections 5.7 and 20.2 hereof, and subject to Section 6.2, FORBES guarantees that it will deliver to PHARMAVITE such amount of the Licensed Ingredient pursuant to PHARMAVITE’s purchase orders for the Licensed Ingredient given in accordance with Section 6.3 of this Agreement. The amounts that PHARMAVITE has agreed to purchase pursuant to this Section, subject to Sections 5.8 and 20.2 hereof, are hereinafter referred to as the “Guaranteed Minimum Purchases.” Service Level Discount. Provided that PHARMAVITE complies with the lead time specified in Section 6.2, if FORBES fails to deliver the Licensed Ingredient to PHARMAVITE in accordance with the delivery dates set forth in PHARMAVITE’s purchase orders, PHARMAVITE shall receive a discount on the price of the Licensed Ingredient equal to ***** (amount omitted) of the total price of such Licensed Ingredient not delivered on time (the “Service Level Discount”). PHARMAVITE may deduct the Service Level Discount when it pays the invoice relating to such late delivery or from the next future invoice. If the amount of the Service Level Discount exceeds the amount of such invoice, PHARMAVITE may deduct the remaining balance of the Service Level Discount from succeeding invoices until the Service Level Discount is exhausted. PHARMAVITE agrees to accept partial shipments of Licensed Ingredient should, for any reason, it becomes necessary to ship in advance of order completion. FORBES shall notify PHARMAVITE as soon as reasonably practicable of any significant anticipated delay in any delivery.
Guaranteed Minimum Purchases. During the Term, MSS Provider will make Gross Purchases in an amount at least equal to the Guaranteed Minimum Purchase amounts specified in the Compensation Agreement, through committed orders placed pursuant to Section 3.2 and calling for shipment on or before the dates set forth in the Compensation Agreement.

  • Guarantee Period The guarantee period is from the effective date of this Contract and ends two years from the expiration of the debt performance term under the Main Contract. In case Party A agrees to extent the debt performance term, the guarantee period ends two years from the expiration of the extended debt performance term under the Main Contract. If Party B announces advanced maturity of debts according to the Main Contract, the guarantee period ends two years from the advanced maturity date of debts announced by Party B. In case the debts under the Main Contract are paid in installments, the guarantee period of each installment is two years from the expiration date of the debt performance term of the last installment.

  • Minimum Payment (a) Overtime worked on a Saturday or Sunday will be paid for at the rate of double Ordinary Rates. Employees required to work on a Saturday or Sunday will be afforded a minimum 4 hours work, or be paid as if for 4 hours at the aforementioned overtime rates.

  • Minimum Purchase Requirements Distributor shall make the minimum annual purchase of Products established in Exhibit B, unless the Agreement has become coexclusive. In the event Supplier is unable to deliver Products ordered by Distributor in an amount consistent with the most recent forecast, then the minimum annual purchase requirement shall be reduced by the quantity of Products that Supplier is unable to deliver when requested. In the event Distributor fails in any year (a “Shortfall Year”) to make the annual minimum purchase of Agreement Products required by Exhibit B, Supplier shall have the right to give Distributor written notice of default, and if such failure to make the minimum purchase is not cured (through the purchase of an amount of Agreement Product equal to the entire shortfall in the Shortfall Year, which amount shall not be counted towards any minimum purchase requirements for the year of purchase) within [ * ] of receipt of the notice, then Supplier shall have the right, in Supplier’s sole discretion and as Supplier’s sole remedy for Distributor’s failure to meet the minimum purchase requirements hereunder, either to convert the appointment of Distributor from exclusive to non-exclusive or to terminate this Agreement. In the event of either conversion to non-exclusive or termination of this Agreement pursuant to this Section 3(e), the Supplier shall pay Distributor a conversion fee equal to [ * ], and Distributor shall transfer all Regulatory Approvals relating to BMS or DES in the Territory to Supplier.

  • QUANTITY BASIS OF CONTRACT – NO GUARANTEED QUANTITIES The contract established has no guarantee of any specific quantity and the State is obligated only to buy that quantity which is needed by its agencies.
