Guarantees Prohibited. Lessee shall not guarantee any indebtedness of any Person (other than the guarantee of the indebtedness under the Credit Agreement).
Guarantees Prohibited. From and after the transfer of Xxxxxx's interest to New Sub as contemplated by the Settlement and Restructuring Agreement, neither Lessee nor any Sublessee shall guarantee any indebtedness of any Affiliate or other third party, except those guarantees for the benefit of AmSouth in effect as of the date hereof or as may be required under the AmSouth Loan Documents.

During the Term, without the prior written consent of Lessor, none of Bxxxxxxx LTC, Guardian Holdings, Lessee, any Sublessee nor any Subsidiary of Guardian Holdings shall guarantee any indebtedness of any Affiliate or other third party; provided however, that Lessor shall not unreasonably withhold its consent to a guaranty by Guardian Holdings or any Subsidiary of Guardian Holdings other than Lessee or any Sublessee.
