HP Property. I will not remove any HP property from HP premises without HP’s permission. Upon termination of my employment with HP, I will return all HP property to HP unless HP’s written permission to keep it is obtained.
HP Property. HP may provide HP property to Licensor for purposes related to this Agreement under the terms of an HP Equipment Loan Agreement in the form attached as Exhibit D to this Agreement.
HP Property. 15.1 Materials, including without limitation designs or other property, furnished to Supplier by HP or paid for by HP in connection with this Agreement (collectively “HP Property”) shall:
(a) Be clearly marked or tagged as the property of HP;
(b) Be and remain personal property and not become a fixed to real property;
(c) Be used only in filling Releases/Purchase Orders from HP;
(d) Be kept free of liens and encumbrances; and
(e) Be kept separate from other materials, tools or property of Supplier or held by Supplier.
15.2 Supplier shall use its best efforts to maintain and protect HP Property until it is returned to HP. Upon HP’s request or upon the termination of this Agreement, Supplier shall deliver all HP Property to HP in good conditions, normal wear and tear excepted, without cost to HP. Supplier waives any legal or equitable right it may have to withhold HP Property.
15.3 Neither Supplier nor any Personnel will remove any HP property from HP premises without HP’s prior written permission.
15.4 Without limiting the generality of this section, HP may file informational or protective financing statements to confirm HP’s title to HP Property. HP may file such statements at any time without Supplier’s consent or signature; HP may record a copy of this Agreement.
HP Property. 10.1 All materials, including without limitation designs or other property, furnished to Seller by HP or paid for by HP in connection with this Agreement (collectively "HP Property") shall:
(a) Be clearly marked or tagged as the property of HP; (b) Be and remain personal property and not become a fixture to real property; (c) Be used only in filling Releases from HP; (d) Be kept free of liens and encumbrances; and (e) Be kept separate from other materials, tools or property of Seller or held by Seller.
10.2 Seller shall bear all risk of loss or damage to HP Property until it is returned to HP. Upon HP's request or upon the termination of this Agreement, Seller shall deliver all HP Property to HP in good condition, normal wear and tear excepted, without cost to HP. Seller waives any legal or equitable rights it may have to withhold HP Property.
10.3 All database information collected on behalf of HP or provided by HP shall be the property of HP, shall be considered confidential information of HP, and shall be used by Seller only as authorized in this Agreement. Seller shall protect this information by using the same degree of care, but no less than a reasonable degree of care, to prevent the unauthorized use, dissemination or publication of the confidential information as Seller uses to protect its own confidential information of a like nature.
10.4 Without limiting the generality of Articles 10.1 through 10.3 above, HP may file informational or protective financing statements to confirm HP's title to HP Property. Such statements may be filed at any time by HP without Seller's consent or signature; if Seller's signature is required on the documents filed, HP may record a copy of this Agreement.
HP Property. HP may provide to Supplier HP Property solely for use in providing Services, Support or in Supplier’s manufacturing, testing or adapting Product. All HP Property will be segregated from Supplier’s property and identified as the sole property of HP. HP Property may not be transferred, assigned, loaned or otherwise encumbered by Supplier in any way. HP Property may be provided to third parties for fulfillment of Supplier’s obligations hereunder only upon HP’s prior written consent. [***], upon HP’s request or in all events upon termination or expiration of this Agreement. HP may require Supplier to enter into further written agreement and execute appropriate documentation as a condition to Supplier having access to HP Property.
HP Property. 13.1 DPI shall ensure that its employees do not remove any HP Property from the work premises without HP's written permission. Upon the request of HP, DPI shall return any HP Property to HP. Upon the departure of a DPI employee, DPI shall ensure that such employee has returned all HP Property to DPI. In the event DPI is unable to secure the return of HP's Property from a departing DPI employee, DPI shall be responsible for making diligent efforts to effect the return of the item and for reimbursing HP for the value of the HP Property should it not be returned or replaced within a reasonable time period not to exceed sixty (60) days after the employee's termination date.
13.2 Any work product directly created for and funded by HP in the course of performing services under this agreement (including, for example, reports) shall be the property of HP and HP shall have the sole right to use, sell, license, publish or otherwise disseminate or transfer rights of such work product. As long as this contract is in effect DPI will have the right to use the work product in its performance of this contract.
13.3 DPI will be diligent in its efforts to protect HP Property (such as products for repair, disassembly or refurbishment, component inventory, tools and test equipment) in the care, custody, and control of DPI from theft by DPI's agents, employees and subcontractors for from any event due to DPI's negligence. If loss beyond $500 per incident occurs, DPI will be liable for reimbursing HP for such loss. The funds for reimbursement to HP will be fully funded by DPI. HP agrees to limit DPI's liability to HP for loss of real and personal property and consequential damages to a maximum of $1,000,000 per occurrence.
13.4 DPI shall provide all security posting instructions to HP and updates of any changes. DPI will also insure that HP is notified of all security breaches though the incident report process.
HP Property. 22.1 Contractor shall ensure that its employees do not remove any HP Property from the work premises without HP's written permission. Upon the request of HP, Contractor shall return any HP Property to HP. Upon the departure of an Contractor employee, Contractor shall ensure that such employee has returned all HP Property to Contractor. In the event Contractor is unable to secure the return of HP's Property from a departing Contractor employee, Contractor shall be responsible for making diligent efforts to effect the return of the item and for reimbursing HP for the value of the HP Property should it not be returned or replaced within a reasonable time period not to exceed thirty (30) days after the employee's termination date.
HP Property. All HP Property shall be clearly segregated and identified as the sole property of HP, and may be provided to a third party by Seller only after obtaining prior written approval from HP. Seller shall be bear all costs for damages which may occur to such property. All HP Property shall be used by Seller only for fulfilling the performance under this Agreement and shall be returned immediately on HP's request.
HP Property. All discoveries, improvements and inventions, conceived ----------- or first reduced to practice (as such terms are used before the PTO) solely by HP employees, shall be the sole and exclusive property of HP, and HP shall retain any and all rights to file patent applications or seek any other form of protection therefor. HP shall be the sole and exclusive owner of all rights, including without limitation copyrights, in and to all derivative works and other works of authorship created solely by HP hereunder, and HP shall retain any and all rights to file any copyright applications or seek any other form of protection therefor.
HP Property. HP hereby grants to Developer a non-exclusive, royalty- ----------- free, non-transferable internal license to use the HP Property and intellectual property embodied therein, for the sole purpose of performing Developer's obligation under this Agreement. No HP Property may be provided to any third party without the prior written approval by HP, unless otherwise required by the GPL or other open source license. All HP Property shall returned immediately upon HP's request.
