IDP Canada. (a) IDP Canada hereby represent and warrant, as of the Effective Date, that: (i) it is duly organized and operating in good standing in accordance with all Laws; (ii) this Agreement has been duly executed by it, is legally valid and binding upon it, and does not require any further approval or consent or registration in any form in order to give full force and effect thereto; (iii) it is not aware, after making due inquiries, of any proceedings, actions, or claims, pending or threatened, against or otherwise involving IDP Canada that would prejudice, in any way, its ability to fulfill its obligations under this Agreement or any other agreements or arrangements to be entered into in connection with the Project; and (iv) it has not committed any Corrupt Act.
