Impediment/Delay/Suspension. 5.2.1 If Supplier recognises that there is a risk of a delay or if Supplier becomes aware of a possible impediment to the performance of its contractual obligations, Supplier shall notify Purchaser without undue delay. 5.2.2 If the delay or impediment is not due to Suppliers default, Purchaser may extend or postpone the milestones, or the final deadlines, as the case may be. For the purpose of this Agreement, an event is deemed not to have been due to Suppliers default, if it is not within the reasonable control of Supplier, but only if and to the extent that (i) such event, despite the exercise of reasonable diligence, cannot be, or be caused to be, prevented, avoided or removed by Supplier, and (ii) such event materially and adversely affects the ability of Supplier to perform its obligations under this Agreement, and Supplier has taken all reasonable precautions, due care and reasonable alternative measures in order to avoid the effect of such event on Suppliers ability to perform its obligations under this Agreement and to mitigate the consequences thereof. 5.2.3 Acts and/or omissions by subcontractors or sub-suppliers shall be attributed to Supplier in the same way as an act and/or omission by Supplier. 5.2.4 Purchaser may request the interruption of manufacturing and/or delivery by Supplier at any time; payment deadlines shall be moved according to the change in the respective milestones. In this case, Supplier shall provide Purchaser with details of the consequences, particularly with regard to necessary amendment of costs and deadlines. If Purchaser requests the interruption of manufacturing and/or delivery for a period of less than three months, Supplier shall not be entitled to claim compensation for any expenses or loss of interests incurred thereby.

The Company specifically reserves the right to terminate this Agreement if You violate any of the terms outlined herein, including, but not limited to, violating the intellectual property rights of the Company or a third party, failing to comply with applicable laws or other legal obligations, and/or publishing or distributing illegal material. If You have registered for an account with Us, You may also terminate this Agreement at any time by contacting Us and requesting termination. At the termination of this Agreement, any provisions that would be expected to survive termination by their nature shall remain in full force and effect.

  • Termination; Suspension Your right to use the Online Backup Feature will terminate on expiration of the Service Period. Symantec may immediately suspend or terminate use of the Online Backup Feature during the Service Period for Your failure to or Symantec’s reasonable belief that You have failed to comply with these terms and conditions (other than a trivial or inconsequential breach) or any other misuse of the Online Backup Feature. Following the expiration or termination of the Service Period:  Symantec may permanently delete any Data stored to the online backup space provided with Your Software and Services ;  Symantec will not be obligated to maintain such Data, forward such Data to You or a third party, or migrate such Data to another backup service or account; and  You will not be able to store the Data to any additional backup space that You may have purchased separately unless and until the Service Period is renewed.

  • Post Suspension 1. Without prejudice to the procedures in Article 190 (Examination of the Benefit Suspension Level), if the Party complained against considers that it has eliminated the non-conformity that the Panel has found, it may provide written notice to the complaining Party with a description of how non-conformity has been removed. If the complaining Party has disagreement, it may refer the matter to the original Panel within 60 days after receipt of such written notice. Otherwise, the complaining Party shall promptly stop the suspension of benefits. 2. The Panel shall release its report within 60 days after the referral of the matter. If the Panel concludes that the Party complained against has eliminated the non-conformity, the complaining Party shall promptly stop the suspension of benefits.

Such suspension of the Service shall continue for as long as any of the circumstances in Clauses 8 continues.

The period of time between the Suspension Date and the Reversion Date is referred to herein as the “Suspension Period”. Notwithstanding the foregoing, no action taken or omitted to be taken by the Company or any of its Subsidiaries or events occurring during a Suspension Period covered by the Suspended Covenants will give rise to a Default or Event of Default under this Indenture with respect to the Notes; provided that: (1) with respect to Restricted Payments made after the applicable Reversion Date, the amount available to be made as Restricted Payments will be calculated as though the covenant described under Section 4.12 had been in effect prior to, but not during, the Suspension Period; (2) on the Reversion Date, any Indebtedness incurred during the Suspension Period will be classified to have been incurred pursuant to the first paragraph of Section 4.13 or one of the clauses set forth in items (a) through (n) under Section 4.13 (to the extent such Indebtedness would be permitted to be incurred thereunder as of the Reversion Date and after giving effect to Indebtedness incurred prior to the Suspension Period and outstanding on the Reversion Date), and to the extent such Indebtedness would not be permitted to be incurred pursuant to Section 4.13, such Indebtedness will be deemed to have been outstanding on the Issue Date, so that it is classified as permitted under clause (2) of Section 4.13; and (3) any Affiliate Transaction entered into after the Reversion Date pursuant to an agreement entered into during any Suspension Period shall be deemed to be permitted pursuant to clause (iv) of the second paragraph of the covenant described under Section 4.15. On and after each Reversion Date, the Company and its Subsidiaries will be permitted to consummate the transactions contemplated by any agreement or commitment entered into during the relevant Suspension Period, so long as such agreement or commitment and such consummation would have been permitted during such Suspension Period. The Issuer or the Company shall give the Trustee prompt written notice of any occurrence of a covenant suspension and in any event not later than five Business Days after the occurrence of such covenant suspension. In the absence of such notice, the Trustee shall assume the Suspended Covenants apply and are in full force and effect. The Issuer or the Company shall give the Trustee prompt written notice of any occurrence of a Reversion Date not later than five Business Days after such Reversion Date. After any such notice of the occurrence of a Reversion Date, the Trustee shall assume that the Suspended Covenants apply and are in full force and effect. There can be no assurance that the Notes will ever achieve or maintain Investment Grade ratings. The Trustee shall have no duty to monitor the ratings of the Notes, determine whether a Covenant Suspension Event or Reversion Date has occurred or notify Holders of the same.

During any suspension period, Oracle will make Customer Data (as it existed on the suspension date) available to Customer.
