Implementation of CAP. Unless otherwise specified in this Agreement, the State shall successfully implement any required CAP as approved by CMS no later than one year from the date of the Warning Notice unless otherwise modified or agreed to by CMS. If the Triggering Event is related to an aspect of the Model involving a payment waiver from the Act issued as an amendment to this Agreement or in a subsequent document, CMS, at its sole discretion, may decide whether to allow the State to utilize such a payment waiver during the time period that the State is under the CAP.

Implementation of CAP. The State shall successfully implement any required CAP as approved by CMS, by no later than 365 calendar days from the date of postmark of the Warning Notice. If the Triggering Event is related to an aspect of the Model involving a payment waiver from the Act, the Secretary, in her sole discretion, may decide whether to allow the State to maintain such a waiver during the time period that the State is under the CAP. In making this determination, the Secretary shall consider whether the State can demonstrate that it is implementing a plan that achieves or surpasses the measured results in terms of cost savings and quality metrics established under the applicable section of the Act from which it was waived.

  • Return of Capital Except pursuant to the rights of Redemption set forth in Section 8.6, no Limited Partner shall be entitled to the withdrawal or return of his or her Capital Contribution, except to the extent of distributions made pursuant to this Agreement or upon termination of the Partnership as provided herein. No Limited Partner or Assignee shall have priority over any other Limited Partner or Assignee either as to the return of Capital Contributions, or as otherwise expressly provided in this Agreement, or as to profits, losses, distributions or credits.

  • WITHDRAWAL OF CAPITAL No Member may withdraw all or any part of its Capital Contribution except with the unanimous consent of the mangers or as provided in Article III (regarding distributions generally) or Article VIII (regarding dissolution of the Company).

  • RETURN OF CAPITAL CONTRIBUTIONS No Partner shall be entitled to withdraw any part of its Capital Contribution or its Capital Account or to receive any distribution from the Partnership, except as specifically provided in this Agreement. Except as otherwise provided herein, there shall be no obligation to return to any Partner or withdrawn Partner any part of such Partner’s Capital Contribution for so long as the Partnership continues in existence.

  • No Right to Demand Return of Capital No Member has any right to any return of capital or other distribution except as expressly provided in this Agreement. No Member has any drawing account in the Company.

  • DISTRIBUTIONS AFTER DISSOLUTION Upon dissolution, the Company must pay its debts before distributing cash, assets, or capital to the Members or the Members’ interests. The Members agree that any distributions occurring after the dissolution of the Company will follow the process outlined in this Agreement and Section 00-00-000 of the Act.

  • Selection of Carrier The selection of the insurance carrier and policy shall be made by the School District as provided by law.

  • Variation of Charges (a) Subject to clause 5.6(b), ARTC will immediately pass on to the Access Holder any net effect of any imposition of new taxes or charges, increases or decreases in taxes or charges (other than income tax) which is a tax, royalty, rate, duty, levy or impost of general application imposed on ARTC by any government or regulatory authority and which is directly attributable to the provision by ARTC to the Access Holder of access to the Network.

  • Collection of card When your application is approved by us, we may send you the card, and a renewal or replacement thereof, by ordinary post to the address we have on record for you. In the event you fail to receive the card and unauthorized transactions occur on the card account, you will not be liable for the balances arising therefrom provided you have not acted fraudulently or negligently. We are not liable to you for any loss or damage which you may suffer if you fail to receive the card.
