Implementation Services Warranty. Any Implementation Services specified in the Agreement will be performed in a professional manner, in accordance with generally accepted industry standards. Subscriber’s exclusive remedies for breach of the warranty in this Section 14.2 shall be either (a) re-performance of the Implementation Services by Xxxx; (b) to exercise the express rights described in Sections 6.2 (Termination for Cause) and refund of Fees upon Termination subject to section 7.4.
Implementation Services Warranty. HRC warrants that, for a period of 45 days from delivery of any setup, configuration or implementation services under an SOW (the “Implementation Service”), it has performed such Implementation Service in accordance with the SOW and generally accepted practices within the software services industry. Customer must notify HRC of any breach of this warranty within the 45- day warranty period of the applicable Implementation Service. AS CUSTOMER’S EXCLUSIVE REMEDY AND HRC’S ENTIRE LIABILITY UNDER THIS IMPLEMENTATION SERVICES WARRANTY, HRC WILL RE-PERFORM ANY NON-CONFORMING PORTION OF THE IMPLEMENTATION SERVICES WITHIN A COMMERCIALLY REASONABLE PERIOD OF TIME, OR IF HRC CANNOT REMEDY THE BREACH, THEN REFUND THE PORTION OF THE FEE ATTRIBUTABLE TO SUCH NON- CONFORMING PORTION OF THE IMPLEMENTATION SERVICES.
Implementation Services Warranty. Spirion warrants that, for a period of 30 days from delivery, it has performed the Implementation Services in conformance with generally accepted practices within the software services industry. Customer must notify Spirion of any breach of this Implementation Services Warranty no later than 90 days after delivery of the Implementation Services. CUSTOMER'S EXCLUSIVE REMEDY AND XXXXXXX'S ENTIRE LIABILITY UNDER THIS WARRANTY WILL BE FOR SPIRION TO RE-PERFORM ANY NON-CONFORMING PORTION OF THE IMPLEMENTATION SERVICES, OR IF SPIRION CANNOT REMEDY THE BREACH, THEN REFUND THE PORTION OF THE FEE ATTRIBUTABLE TO SUCH NON-CONFORMING PORTION OF THE IMPLEMENTATION SERVICES. THIS WARRANTY WILL NOT APPLY TO THE EXTENT CUSTOMER, ITS CONTRACTORS, OR AGENTS HAVE MODIFIED ANY ITEM.

AS CUSTOMER’S EXCLUSIVE REMEDY AND HRC’S ENTIRE LIABILITY UNDER THIS IMPLEMENTATION SERVICES WARRANTY, HRC WILL RE-PERFORM ANY NON- CONFORMING PORTION OF THE IMPLEMENTATION SERVICES WITHIN A COMMERCIALLY REASONABLE PERIOD OF TIME, OR IF HRC CANNOT REMEDY THE BREACH, THEN REFUND THE PORTION OF THE FEE UNDER THE SOW ATTRIBUTABLE TO SUCH NON-CONFORMING PORTION OF THE IMPLEMENTATION SERVICES.
Implementation Services Warranty. TransLoc represents and warrants that the Implementation Services will be performed in a professional manner consistent with standards in the industry.

  • Implementation Services Vendor shall provide the Implementation Services, if any, described in Exhibit A. The Services Fees for any Implementation Services shall be described in Exhibit A.

  • Services Warranty The Contractor warrants and represents that each of its employees, Subcontractors, or agents assigned to perform any services under the terms of this Agreement shall have the skills, training, and background reasonably commensurate with his or her level of performance or responsibility, so as to be able to perform in a competent and professional manner. The Contractor further warrants that the services provided hereunder will conform to the requirements of this Agreement. All warranties, including any special warranties specified elsewhere herein, shall inure to the Judicial Council, its successors, assigns, customer agencies, and any other recipients of the services provided hereunder.

  • Professional Services Warranty Kodak warrants that it shall perform Professional Services in a professional manner using appropriately skilled personnel in accordance with generally accepted industry standards and Kodak’s then current policies and procedures. Subject to the provisions of condition 12.1 Customer’s sole and exclusive remedy under the warranty described in this condition shall be, at Kodak’s option, (1) re-performance of the non-conforming Professional Services, or (2) refund of the amount paid by Customer for the non-conforming Professional Services.

  • Preconstruction Services During the Design & Preconstruction Phase, the Design-Builder shall provide such design and preconstruction services as are necessary to properly advance the Project. Without limiting the generality of the foregoing, during the Preconstruction Phase, the Design-Builder shall: (i) work with its Architect and any design consultants to advance the design for the Project in consultation with Client Agency, the Department and its Program Manager; (ii) obtain bids from trade subcontractors to perform the work described in the Design Development Documents and provide bid tabulations to the Department; (iii) engage in any value engineering and scoping exercises necessary to return the cost of the work to the Project Budget; (iv) engage in preconstruction activities, including identifying any long-lead items; (v) develop a GMP proposal for the Project; and (vi) enter into a GMP for the Project. Throughout the Design & Preconstruction Phase, the Design-Builder shall schedule and attend regular meetings with the Department, the Program Manager and the Architect. A list of preconstruction deliverables is set forth in Exhibit C.

  • Installation Services The Bitstream 2a Service includes a Standard Install as set out below (in each case to the extent that the relevant provisioning works are not already complete for the relevant Service Order).1

  • Transition Services Agreement Seller shall have executed and delivered the Transition Services Agreement.

  • Project Implementation Manual The Recipient, through the PCU, shall: (i) take all action required to carry out Parts 1.1, 1.3, 1.4, 2, 3.1(b), 3.2, 3.3 and 4 (ii) of the Project in accordance with the provisions and requirements set forth or referred to in the Project Implementation Manual; (ii) submit recommendations to the Association for its consideration for changes and updates of the Project Implementation Manual as they may become necessary or advisable during Project implementation in order to achieve the objective of Parts 1.1, 1.3, 1.4, 2, 3.1(b), 3.2, 3.3 and 4(ii) of the Project; and (iii) not assign, amend, abrogate or waive the Project Implementation Manual or any of its provisions without the Association’s prior agreement. Notwithstanding the foregoing, if any of the provisions of the Project Implementation Manual is inconsistent with the provisions of this Agreement, the provisions of this Agreement shall prevail and govern.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).
