Incorporation of Proposal Documents. The RFP issued by County and Concessionaire's response to the RFP, including all documents submitted by Concessionaire to County for evaluation in the concession award process pursuant to which the concession represented by this Agreement was awarded to Concessionaire, are hereby incorporated by reference into this Agreement and made a part hereof (the RFP and all documents filed by Concessionaire in response thereto are referred to, collectively, as the "Proposal Documents"). RFP means Request for Proposals #20180430-0-AV-01 issued by County seeking proposals from rental car firms desiring to operate rental car concessions at the Airport. Concessionaire shall be bound by all terms, conditions, representations, and commitments contained in the Proposal Documents. In the event Concessionaire shall fail to abide by and comply with any of the terms, conditions, representations, or commitments contained in the Proposal Documents, then, at the option of County, such failure shall be deemed a default of this Agreement. In the event of any conflict between this Agreement and the Proposal Documents, this Agreement shall prevail.

Incorporation of Proposal Documents. The Treasurer’s RFP and Custodian’s Proposal in response to the RFP, excluding any exceptions taken by Custodian with respect to any of the terms, conditions, requirements or provisions of the RFP (“Custodian Exceptions”), together with any related clarifications, attachments, appendices, amendments or other writings of Treasurer or Custodian are incorporated into this Agreement by this reference as if fully set forth in this Agreement.

Incorporation of Proposal Documents. The Request for Proposal number IL-18-01 (RFP) and the Contractor's proposal in response to this RFP, together with any clarifications, addenda or other writings of the Lottery or Contractor (collectively, the Proposal) are incorporated into this Agreement by this reference as if fully set forth in this Agreement.

Concessionaire shall be bound by all terms, conditions, representations, and commitments contained in the Proposal Documents. In the event Concessionaire shall fail to abide by and comply with any of the terms, conditions, representations, or commitments contained in the Proposal Documents, then, at the option of County, such failure shall be deemed a default of this Agreement. In the event of any conflict between this Agreement and the Proposal Documents, this Agreement shall prevail.

Incorporation of Proposal Documents. To the extent that the terms and provisions of the Request for Proposals (“RFP”) to operate a Food and Beverage Concession at the Terminal and of the CONCESSIONAIRE’S Proposal thereof are not in conflict with the provisions of this Agreement, such terms and provisions are made a part hereof as Exhibit F attached hereto by reference, and shall be fully binding on both parties as if fully set out herein. In the event of any conflict between the provisions of this Agreement and those of the RFP and/or CONCESSIONAIRE’S Proposal, said provisions shall be given effect in the following order: (1) this Agreement; (2) the RFP; and (3) the CONCESSIONAIRE’S Proposal in response to the RFP.

Incorporation of Proposal Documents. To the extent that the terms and provisions of the Request for Proposals (“RFP”) to construct a hangar and of the LESSEE’S Proposal thereof are not in conflict with the provisions of this Agreement, such terms and provisions are made a part hereof as Exhibit “B”(incorporated by reference), and shall be fully binding on both parties as if fully set out herein. In the event of any conflict between the provisions of this Agreement and those of the RFP and/or LESSEE’S Proposal, said provisions shall be given effect in the following order: (1) this Agreement; (2) the RFP; and (3) the LESSEE’S Proposal in response to the RFP.

Incorporation of Proposal Documents. The Request for Letter of Interest RLI#20150901-0-AV-01 (the "RLI") issued by the County and response of Operator to such, including all documents submitted by Operator to County for evaluation in the solicitation and award process pursuant to which the services represented by this Agreement was awarded to Operator, is hereby incorporated by reference into this Agreement and made a part hereof (the RLI and all documents filed by Operator in response thereto are called collectively, "Proposal Documents"). Operator shall be bound by all terms, conditions, representations, and commitments contained in the Proposal Documents. In the event Operator shall fail to abide by and comply with any of the terms, conditions, representations, or commitments contained in the Proposal Documents, then, at the option of County, such failure shall be deemed a default of this Agreement. In the event of any conflict between this Agreement and the Proposal Documents, this Agreement shall prevail.

Incorporation of Proposal Documents. The Request for Proposal No. 2020-02 (“RFP”), including attachments and addenda, and the Consultant’s response to the RFP, are specifically made a part of this Contract and are incorporated as if set forth fully herein. In the event of a conflict between or among the documents or any ambiguity or missing specifications or instruction, the following priority is established: 1. This Contract (Contract No. 2020-02) Approved by Commission, and any attachments. 2. The RFP, including any and all attachments and addenda. 3. Consultant’s response to the RFP. 4. Specific direction from the City Manager.
