Increase of FeesAll fees and other prices set forth in this Exhibit B shall be adjusted each Renewal Period by the CPI Adjustment and/or any other cost increases that may be substantiated by Styleclick (e.g. increases in hosting, bandwidth or salary costs). The "CPI Adjustment" shall equal the percentage by which the Consumer Price Index for All Urban Consumers (CPI-U) for the U.S. City Average for All Items has increased or decreased for the month of December of the then ending calendar year as compared to the month of December of the previous calendar year. In the event that ECS is unwilling to agree to renew the agreement based on an Increase of Fees related to costs increases that have been substantiated by Styleclick, ECS and Styleclick will arrange for a mutually agreeable transition to another provider.

If Client does not object to such increase in writing within ten (10) Business Days of receipt, the relevant Order Form shall be deemed amended to include the increased Subscription Fees for that Renewal Term. 6.6.3 Productsup is entitled to increase the Subscription Fees for the use of the Software Product by a written notice with a notice period of ninety (90) days to the end of a month, if either the total of the necessary costs for the provision of Services, in particular the costs for the maintenance and the further development of the technical infrastructure, the costs for the licensing of third-party work or the total of the costs for the Services and the general administration have increased – even in consideration of any eventual profits. In case of such an increase, the Client is entitled to terminate this Master Services Agreement and any outstanding Order Forms without notice as a special termination right.
Increase of Fees. Sierra may, at any time and from time to time after the initial year of the term of this Agreement, impose reasonable increases on the annual or monthly rate, subject to the right of the Client upon notice of any such rate increase to terminate the Agreement without refund of any payments previously made for service. Such rate increases shall be based upon Xxxxxx's determination, in its sole and absolute discretion, of the amount necessary to return a reasonable profit and may take into account, among other factors, increases in taxes, fees or other charges which may be hereafter imposed on Sierra by any governmental authority or provider of services to Sierra. Xxxxxx shall give not less than sixty (60) days notice of such increase.
Increase of Fees. Purchaser acknowledges that the Master Licensor may increase the fees payable for the Software from time to time and that, as such, the Fees payable hereunder with respect to a Renewal Term may be modified accordingly by the Company on 60 days’ notice to the Purchaser prior to the commencement of such Renewal Term.
