Incurrence of Debt and Issuance of Disqualified Stock. The Company shall not, and shall not permit any of its Restricted Subsidiaries to, directly or indirectly, create, incur, issue, assume, guarantee or otherwise become directly or indirectly liable, contingently or otherwise, with respect to (collectively, "incur") any Debt (including Acquired Debt) and the Company shall not issue any Disqualified Stock; provided, however, that the Company may incur Debt (including Acquired Debt) or issue shares of Disqualified Stock if the Company's Debt to Annualized Cash Flow Ratio is no greater than (a) 5.5 to 1.0, if such incurrence or issuance is on or prior to March 15, 2001, and (b) 5.0 to 1.0, if such incurrence or issuance is after March 15, 2001. Notwithstanding the foregoing, the Company may not incur any Debt that is contractually subordinated in right of payment to any other Debt of the Company unless such Debt is also contractually subordinated in right of payment to the Notes on substantially identical terms (except to the extent that any such subordination terms are inapplicable to the Notes); provided, however, that no Debt of the Company shall be deemed to be contractually subordinated in right of payment to any other Debt of the Company solely by virtue of being unsecured. The provisions of the first paragraph of this covenant will not apply to the incurrence of any of the following items of Debt (collectively, "Permitted Debt"), each such item to be given independent effect:
