INDEMNIFICATION BY ABS. Subject to the other terms and conditions of this Article VII, ABS shall indemnify and defend each of Parent and its Affiliates (including the Surviving Corporation) and their respective Representatives (collectively, the “Parent Indemnitees”) against, and shall hold each of them harmless from and against, and shall pay and reimburse each of them for, any and all Losses incurred or sustained by, or imposed upon, the Parent Indemnitees based upon, arising out of, with respect to or by reason of: (a) any inaccuracy in or breach of any of the representations or warranties of ABS or the Company contained in this Agreement or in any certificate delivered pursuant to Section 2.03(a)(ii) and Section 2.03(a)(iii) by or on behalf of ABS or the Company, as of the date such representation or warranty was made or as if such representation or warranty was made on and as of the Closing Date (except for representations and warranties that expressly relate to a specified date, the inaccuracy in or breach of which will be determined with reference to such specified date); (b) any breach or non-fulfillment of any covenant, agreement or obligation to be performed by ABS or, to the extent attributable to any breach prior to the Closing, the Company pursuant to this Agreement (other than any breach or violation of, or failure to fully perform, any covenant, agreement, undertaking or obligation in Article VI, it being understood that the sole remedy for any such breach, violation or failure shall be pursuant to Article VI); (i) all Pre-Closing Taxes; (ii) all Taxes of any member of an affiliated, consolidated, combined or unitary group of which the Company (or any predecessor of the Company) is or was a member on or prior to the Closing Date by reason of a liability under Treasury Regulation Section 1.1502-6 or any comparable provisions of state, local or non-U.S. Tax Law; (iii) any and all Taxes of any person imposed on the Company arising under the principles of transferee or successor liability or by contract, relating to an event or transaction occurring before the Closing Date; and (iv) Taxes imposed on or payable by third parties with respect to which the Company or any of its subsidiaries has an obligation to indemnify such third party pursuant to a transaction consummated on or prior to the Closing; or (d) any Liabilities or Indebtedness of the Company arising directly from the Development or manufacture of the Licensed Products by or on behalf of the Company or any of ...

INDEMNIFICATION BY ABS. ABS agrees to indemnify and hold harmless Abbott, each of Abboxx'x xxxectors, officers and U.S. wholly-owned subsidiaries, and each person, if any, who controls Abbott within the meaning of the Securities Act or the Exchange Act, from and against any losses, claims, damages or liabilities (or actions or proceedings in respect thereof) to which they may become subject (under the Securities Act or otherwise) insofar as such losses, claims, damages or liabilities (or actions or proceedings in respect thereof) arise out of, or are based upon any untrue statements of a material fact contained in (or upon the omission of a material fact from) a Registration Statement delivered or circulated by Abbott in connection with a sale of ABS securities by Abbott, or arise out of any failure by ABS to fulfill any undertaking included in the Registration Statement, and ABS will, as incurred reimburse Abbott and such persons for any legal or other expenses reasonably incurred in investigating, defending or preparing to defend any such action, proceeding or claim; provided, however, that ABS shall not be liable in any such case to the extent that such loss, claim damage or liability arise out of, or is based upon (i) an untrue statement made in (or upon the omission of a material fact from) such Registration Statement in reliance upon and in conformity with written information furnished to ABS by or on behalf of Abbott specifically for use in preparation of the Registration Statement, (ii) the failure of Abbott to comply with the covenants or agreements contained in SECTION 2.6 hereof, or (iii) any untrue statement or omission in any prospectus that is corrected in any subsequent prospectus that was delivered to Abbott prior to the pertinent sale or sales by Abbott.
INDEMNIFICATION BY ABS. Subject to the provisions of this ---------------------- Article VIII, ABS agrees to indemnify, defend and hold the Companies and the Existing Shareholders and their respective controlling persons, stockholders, subsidiaries, officers, directors, employees, agents, successors and assigns (such persons are hereinafter collectively referred to as "California Equipment's Indemnified Persons"), harmless from and against any and all Losses that California Equipment's Indemnified Persons may suffer, sustain, incur or become subject to arising out of or due to: (a) the Assumed Liabilities or the Assets; (b) the nonfulfillment of any covenant, undertaking, agreement or other obligation of ABS under this Agreement, any Schedule hereto or any Ancillary Agreement, not otherwise waived by the Companies or the Existing Shareholders; (c) any inaccuracy of any representation of ABS in this Agreement, in any Schedule hereto or any Ancillary Agreement; or (d) the breach of any warranty of ABS in this Agreement or any Schedule hereto. Payment is not a condition precedent to recovery of indemnification for Losses.

(b) With respect to this Agreement, Abboxx xxxll not settle, offer to settle or admit liability in any claim or suit in which Abboxx xxxends to seek indemnification by ABS without the written consent of a duly authorized officer of ABS, which consent shall not be unreasonably withheld.
INDEMNIFICATION BY ABS. ABS shall indemnify, defend and hold harmless Abboxx, xxs Affiliates, sublicensees, distributors and customers of the foregoing and their directors, officers, employees and agents from and against any and all third party claims, demands, losses, settlement amounts, damages, penalties, costs and expenses (including fees and costs of attorneys and witnesses) of any kind or nature, arising from the alleged infringement by Abboxx xx (i) patent rights that dominate a claim of the Patent or (ii) patents or other intellectual property rights that cover the manufacture, use, sale, import, export or distribution of one or more Products, but only as to the Compound and not to any other aspect of Product such as delivery vehicle, stabilizing agents or formulation and further provided, that ABS's liability under this indemnity shall not exceed the total monies paid to ABS under this Agreement (including Abboxx'x xxxity investment in ABS under Section 3.2 hereof). ABS shall have no obligation to Abboxx xx its Affiliates, sublicensees, distributors and other customers with respect to claims, demands, losses, settlement amounts, damages, penalties, costs and expenses (including fees and costs of attorneys and witnesses) of any kind or nature, arising out of the intentional or negligent acts of Abboxx xx its Affiliates, sublicensees and distributors or the directors, officers, employees and agents of any of them. If a claim is made or a suit is brought against Abboxx, xxs Affiliates, sublicensees, distributors or other customers, Abboxx xxxl promptly notify ABS in writing and provide a copy of the lawsuit or claim. ABS and Abboxx xxxll promptly meet to discuss the handling of the claim or suit. In the event Abboxx xxxcts not to defend any such claim or suit, ABS shall defend the same in accordance with its indemnification obligation contained herein. You shall also not be liable under this indemnification provision with respect to any claim made against an Indemnified Party unless such Indemnified Party shall have notified you in writing within a reasonable time after the summons or other first legal process giving information of the nature of the claim shall have been served upon such Indemnified Party (or after such Indemnified Party shall have received notice of such service on any designated agent), but failure to notify you of any such claim shall not relieve you from any liability which it may have to the Indemnified Party against whom such action is brought otherwise than on account of this indemnification provision.   • Indemnification by Parent Except as otherwise specifically set forth in this Agreement or in any Ancillary Agreement, to the fullest extent permitted by Law, Parent shall, and shall cause the other members of the Parent Group to, indemnify, defend and hold harmless SpinCo, each member of the SpinCo Group and each of their respective past, present and future directors, officers, employees or agents, in each case in their respective capacities as such, and each of the heirs, executors, successors and assigns of any of the foregoing (collectively, the “SpinCo Indemnitees”), from and against any and all Liabilities of the SpinCo Indemnitees relating to, arising out of or resulting from, directly or indirectly, any of the following items (without duplication): (a) any Parent Liability; (b) any failure of Parent, any other member of the Parent Group or any other Person to pay, perform or otherwise promptly discharge any Parent Liabilities in accordance with their terms, whether prior to, on or after the Effective Time; (c) any breach by Parent or any other member of the Parent Group of this Agreement or any of the Ancillary Agreements; (d) except to the extent it relates to a SpinCo Liability, any guarantee, indemnification or contribution obligation, surety bond or other credit support agreement, arrangement, commitment or understanding for the benefit of any member of the Parent Group by any member of the SpinCo Group that survives following the Distribution; and (e) any untrue statement or alleged untrue statement of a material fact or omission or alleged omission to state a material fact required to be stated therein or necessary to make the statements therein not misleading, with respect to statements made explicitly in Parent’s name in the Form 10, the Information Statement (as amended or supplemented if SpinCo shall have furnished any amendments or supplements thereto) or any other Disclosure Document; it being agreed that the statements set forth on Schedule 4.3(e) shall be the only statements made explicitly in Parent’s name in the Form 10, the Information Statement or any other Disclosure Document, and all other information contained in the Form 10, the Information Statement or any other Disclosure Document shall be deemed to be information supplied by SpinCo.
