Indemnification of Lessor by Lessee. Lessee hereby indemnifies Lessor against and holds Lessor harmless from any and all claims, actions, suits, proceedings, costs, expenses, damages and liabilities, including legal fees, arising out of or connected with or resulting from the Equipment, including, without limitation, the manufacture, selection, delivery, installation, possession, use, operation or return of the Equipment or otherwise on account of any personal injury or death or damage to property occasioned by the Equipment or the negligence of the employees; servants or agents of Lessee or Lessor, or on account of any infringement or alleged infringement of any patent of any third party, resulting from or relating to the Lessee’s operation of the Equipment or the product of such operation.

Indemnification of Lessor by Lessee. Lease PARA 8.7 modified as follows: (i) "Except as waived by Lease PARA 8.6" is added to the beginning; (ii), "involving or in Connection with," in line 3 is deleted; (iii)"act, omission or neglect" in line 4 is deleted and "negligent act or omission or willful misconduct" is substituted; and (iv)"or invitees" in line 4 is deleted.
Indemnification of Lessor by Lessee. Lessee shall indemnify, defend, and hold Lessor harmless from and against any and all Liabilities and Costs (including without limitation claims for injury to any person or damage to property of Lessor, Lessee, or any third party), whenever arising on or after the date hereof arising out of or due to, or asserted or alleged to arise out of or be due to, any act (whether of commission or omission) of Lessee or any of its agents, employees, or invitees with respect to the Premises or in the exercise of Lessee's rights or the observance or performance of Lessee's covenants and obligations under this Lease (or in breach or excess thereof) or the use or occupancy of the Premises by Lessee or any of its agents, employees, or invitees, whether or not any such Liabilities or Costs are asserted by an agent, employee, or invitee of Lessee, and whether or not any such Liabilities or Costs are based upon negligence; provided, however, that Lessee shall not be responsible to indemnify, defend or hold Lessor harmless with respect to any Liabilities or Costs caused solely by the negligence or willful misconduct of Lessor or Lessor's employees acting within the scope of their employment. Lessor shall have the right (but shall have no obligation) to conduct its own defense with attorneys of its own selection, and Lessor shall have the absolute right to approve or disapprove in its sole discretion any settlement or compromise proposed by Lessee with any third party relating to any claim asserted against or alleged liability of Lessor.
Indemnification of Lessor by Lessee. Notwithstanding any other indemnification provisions in this Lease which remain in full force and effect, Lessee shall indemnify, protect, defend and hold Lessor and its, affiliates, shareholders, directors, officers, agents, employees, successors, and assigns harmless and shall pay all sums required with respect to any, damages, demands, claims, liabilities, costs and expenses, including but not limited to reasonable attorney fees (collectively “Expenses”), incurred by reason of, arising out of, or in connection with any of the following:
Indemnification of Lessor by Lessee. Lessee understands and agrees that a significant condition on Lessor agreeing to enter into this Lease is Lessee's agreement that Lessor shall not be responsible for any of the obligations imposed upon Lessee arising out of or related to its use and occupation of the Premises pursuant to this Lease, and Lessee further agrees that it shall be solely responsible for insurance coverage, general liabilities, third party liabilities, hazardous materials liability, and repairs or installations or maintenance of the Premises or any improvements thereon arising out of or related to its use and occupation of the Premises pursuant to this Lease. The Parties further agree that Lessee will be responsible for all costs and liabilities caused by or incurred as a result of its tenancy on the Premises pursuant to this Lease, with the exception of any costs and/or liabilities caused by or incurred as a result of the negligence or willful misconduct of the City, Agency and City/Agency Personnel and/or their authorized agents. However, Lessee shall not be liable for any remediation, clean up costs or damages stemming from hazardous materials or contamination on the Premises resulting from the acts or omissions of any third party outside of the control of Lessee.

NOTWITHSTANDING ANYTHING CONTAINED IN THIS LEASE TO THE CONTRARY, IN NO EVENT SHALL LESSEE BE LIABLE FOR INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, LOST PROFITS OR OTHER BUSINESS INTERRUPTION DAMAGES IN TORT, CONTRACT OR OTHERWISE UNDER OR ON ACCOUNT OF THIS LEASE, EXCEPT THOSE PAYABLE TO THIRD PARTIES FOR WHICH LESSEE WOULD BE LIABLE UNDER THIS SECTION.

Tenant, at its expense, shall contest, resist and defend any such claim, action or proceeding asserted or instituted against Landlord (and shall not be responsible for any duplicative attorneys’ fees incurred by Landlord) or may compromise or otherwise dispose of the same, with Landlord’s prior written consent (which consent may not be unreasonably withheld, delayed or conditioned). The obligations of Tenant under this Section 9.5 are in addition to the obligations set forth in Section 4.4 and shall survive the termination of this Agreement.

  • Limitation of Lessor's Liability It is expressly agreed and understood that all representations, warranties and undertakings of Lessor hereunder (except as expressly provided herein) shall be binding upon Lessor only in its capacity as Owner Trustee under the Trust Agreement and in no case shall the Trust Company be personally liable for or on account of any statements, representations, warranties, covenants or obligations stated to be those of Lessor hereunder, except that the Trust Company shall be personally liable for its gross negligence or willful misconduct and for its breach of its covenants, representations and warranties contained herein to the extent covenanted or made in its individual capacity.

Lessor shall not be liable for any damages arising from any act or neglect of any other lessee of Lessor nor from the failure by Lessor to enforce the provisions of any other lease in the Industrial Center. Notwithstanding Lessor's negligence or breach of this Lease, Lessor shall under no circumstances be liable for injury to Lessee's business or for any loss of income or profit therefrom.

  • Indemnification by Tenant Except to the extent caused by the sole negligence, gross negligence or willful misconduct of any of the Indemnified Landlord Parties, Tenant shall defend, indemnify and save harmless Landlord and Landlord’s trustees, and their respective officers, managers, agents directors, employees, subsidiaries, affiliates, successors and assigns (collectively, the “Indemnified Landlord Parties”) against all costs (including reasonable attorneys’ fees, charges and disbursements), damages, liabilities, losses, suits or claims (collectively, “Claims”), for bodily or personal injury or property damage occurring during the Term on the Property caused by Tenant or its officers, managers, agents, directors, subsidiaries, affiliates, successors, assigns, invitees, visitors or contractors, and shall, at its own expense, defend, indemnify and save harmless Landlord and the other Indemnified Landlord Parties against all Claims brought against Landlord and/or the other Indemnified Landlord Parties, for which Tenant is responsible for indemnification hereunder, and if Tenant fails to do so, Landlord or any Indemnified Landlord Party (at its option, but without being obligated to do so) may, at the reasonable cost and expense to Tenant and upon notice to Tenant in the manner set forth in Section 18, defend such Claims and Tenant shall pay and discharge any and all judgments, costs, liabilities, losses, and expenses, including reasonable attorneys’ fees, charges and disbursements, that arise therefrom. In no event shall Tenant be liable to Landlord or any Indemnified Landlord Party under this Lease or at law or in equity for punitive damages.
