Indemnity and Defense Obligations. The work performed by Developer will be at its risk, exclusively. To the fullest extent permitted by law, Developer will indemnify, defend (at their sole expense), and hold harmless the City of Franklin, Indiana, the RDC, and their members, officers, employees, and agents (“Indemnified Parties”), from and against any and all claims for bodily injury, death or damage to property, demands, damages, actions, causes of action, suits, losses, judgments, obligations and any liabilities, costs and expenses (including but not limited to investigative and repair costs, attorneys’ fees and costs, and consultants’ fees and costs) (“Claims”) which arise or are in any way connected with the premises, work performed, materials furnished, or services provided under this agreement unless such Claims arise by reason of the negligence or omission of the City, RDC, or the Indemnified Parties. These indemnity and defense obligations shall apply to any acts or omissions, negligent or willful misconduct of Developer, their employees or agents, whether active or passive. These indemnification and defense obligations hereunder shall extend to claims occurring after this Agreement is terminated as well as while it is in force, and shall continue until it is finally adjudicated.

Indemnity and Defense Obligations. The work performed by Company and Tech Park will be at their sole risk, exclusively. To the fullest extent permitted by law, Company and Tech Park will indemnify, defend (at its sole expense), and hold harmless the City of Franklin, Indiana, the Franklin Redevelopment Commission, the FDC, and their members, officers, employees, and agents (“Indemnified Parties”), from and against any and all claims for bodily injury, death or damage to property, demands, damages, actions, causes of action, suits, losses, judgments, obligations and any liabilities, costs and expenses (including but not limited to investigative and repair costs, attorneys’ fees and costs, and consultants’ fees and costs) (“Claims”) which arise or are in any way connected with the Property or the construction of the Project including work performed, materials furnished, or services provided under this agreement unless such Claims arise by reason of the negligence or omission of the City, the Franklin Redevelopment Commission, FDC, or the Indemnified Parties. Indemnity and Defense Obligations. To the fullest extent permitted by law, Applicant shall defend, through counsel approved by the District, indemnify, and hold harmless the District and its governing board and members thereof, officers, employees, and agents (collectively “District Personnel”) from and against any and all claims, demands, lawsuits, causes of action, actions, damages, liability, judgments and expenses, whether actual or alleged, arising out of or relating to this Agreement, including but not limited to the following: (1) damages, losses, judgments, obligations and expenses and costs, including but not limited to, attorney’s fees, expert’s fees, and court costs; (2) injuries to or death of any person; (3) damage, loss, loss of use, or destruction of any facilities, furnishings, equipment, or other property of the District Personnel or third parties; and (4) compensatory damages, statutory and/or regulatory fines or penalties, and extra-contractual liability (collectively “Loss”), excepting only Loss resulting from the sole negligence of the District and/or District Personnel. This indemnity and defense obligation on the part of the Applicant shall exist even where the Applicant or anyone acting for or on behalf of the Applicant is not negligent or otherwise at fault with respect to the cause of such Loss. Applicant’s obligations and liabilities to the District Personnel under this paragraph are not limited to or by any insurance that Applicant maintains but shall apply to the fullest extent permitted by law without regard to whether Applicant’s insurance provides coverage for the obligations and liabilities. Such obligations and liabilities shall extend beyond the Term for any Loss that occurred during, arose out of, or are related to the Event, this Agreement, or Applicant’s use of the Requested Facility.

  • Indemnity Obligations An Indemnified Party seeking indemnification under this Agreement must notify Customer promptly of any event requiring indemnification. However, an Indemnified Party’s failure to notify will not relieve Customer from its indemnification obligations, except to the extent that the failure to notify materially prejudices Customer. Customer may assume the defense of any proceeding requiring indemnification unless assuming the defense would result in potential conflicting interests as determined by the Indemnified Party in good faith. An Indemnified Party may, at Customer’s expense, defend itself until Customer’s counsel has initiated a defense of the Indemnified Party. Even after Customer assumes the defense, the Indemnified Party may participate in any proceeding using counsel of its own choice and at its own expense. Customer may not settle any proceeding related to this Agreement unless the settlement also includes an unconditional release of liability for all Indemnified Parties. Customer’s indemnification obligations are not the sole remedy for Customer’s breach of this Agreement and are in addition to any other remedies available. Customer’s indemnification obligations hereunder are not an Indemnified Party’s sole remedy for events giving rise to indemnity by Customer hereunder, and are in addition to any other remedies an Indemnified Party may have against Customer under this Agreement.

  • Indemnity Agreements (a) The Commission will execute and issue agreements of indemnity with each Federal agency subject to this subpart pursuant to the regulations in this part or such other regulations as may be issued by the Commission. Such agreements, as to any licensee, shall be effective on:

  • Indemnity Subrogation and Subordination Upon payment by any Grantor of any Secured Obligations, all rights of such Grantor against the Borrower or any other Grantor arising as a result thereof by way of right of subrogation, contribution, reimbursement, indemnity or otherwise shall in all respects be subordinate and junior in right of payment to the prior payment in full in cash of all the Secured Obligations (other than (i) contingent indemnity obligations for then unasserted claims; (ii) obligations and liabilities under Secured Hedge Agreements as to which arrangements satisfactory to the applicable Hedge Bank shall have been made; or (iii) Cash Management Obligations as to which arrangements satisfactory to the applicable Cash Management Bank shall have been made) and the termination of all Commitments to any Loan Party under any Loan Document. If any amount shall erroneously be paid to the Borrower or any other Grantor on account of (i) such subrogation, contribution, reimbursement, indemnity or similar right or (ii) any such indebtedness of the Borrower or any other Grantor, such amount shall be held in trust for the benefit of the Secured Parties and shall forthwith be paid to the Collateral Agent to be credited against the payment of the Secured Obligations, whether matured or unmatured, in accordance with the terms of the Credit Agreement and the other Loan Documents. Subject to the foregoing, to the extent that any Grantor (other than the Borrower) shall, under this Agreement or the Credit Agreement as a joint and several obligor, repay any of the Secured Obligations (an “Accommodation Payment”), then the Grantor making such Accommodation Payment shall be entitled to contribution and indemnification from, and be reimbursed by, each of the other Grantors in an amount equal to a fraction of such Accommodation Payment, the numerator of which fraction is such other Grantor’s Allocable Amount and the denominator of which is the sum of the Allocable Amounts of all of the Grantors. As of any date of determination, the “Allocable Amount” of each Grantor shall be equal to the maximum amount of liability for Accommodation Payments which could be asserted against such Grantor hereunder and under the Credit Agreement without (a) rendering such Grantor “insolvent” within the meaning of Section 101 (31) of the Bankruptcy Code, Section 2 of the Uniform Fraudulent Transfer Act (“UFTA”) or Section 2 of the Uniform Fraudulent Conveyance Act (“UFCA”), (b) leaving such Grantor with unreasonably small capital or assets, within the meaning of Section 548 of the Bankruptcy Code, Section 4 of the UFTA, or Section 5 of the UFCA, or (c) leaving such Grantor unable to pay its debts as they become due within the meaning of Section 548 of the Bankruptcy Code or Section 4 of the UFTA, or Section 5 of the UFCA.

  • Indemnity Claims A claim for indemnification for any matter not involving a third-party claim may be asserted by notice to the party from whom indemnification is sought.
