Independent Contractor; Benefits; Insurance. (a) (i) COAC and the Operations Executives are acting solely as independent contractors in performing the Advisory Services hereunder, (ii) neither COAC nor any Operations Executive shall have the authority to act for, bind, or otherwise commit Client or its Affiliates, and (iii) neither COAC nor its Operations Executives shall hold themselves out as having any such authority, except in the case of items (ii) and (iii) above to the extent that such authority has been granted to an Operations Executive by Client, in writing, in connection with the delivery of Officer Staffing Services or otherwise.

  • Independent Contractor Benefits It is the express intention of the Company and Consultant that Consultant performs the Services as an independent contractor. Nothing in this Agreement shall in any way be construed to constitute Consultant as an employee or entitling Consultant to any of benefits otherwise provided to employees of the Company. Consultant acknowledges and agrees that Consultant is obligated to report as income all compensation received by Consultant pursuant to this Agreement. Consultant agrees to and acknowledges the obligation to pay all self-employment and other taxes on such income.

The parties acknowledge and agree that this Agreement does not create a fiduciary relationship between them, that Developer shall be an independent contractor and that nothing in this Agreement is intended to constitute either party an agent, legal representative, subsidiary, Affiliate, joint venturer, partner, employee, joint employer or servant of the other for any purpose.
