Independent Contractor, No Partnership or Joint Venture. The parties acknowledge that the Manager is providing or arranging for the provision of the Services hereunder as an independent contractor and that the Service Recipients and the Manager are not partners or joint venturers with or agents of each other, and nothing herein will be construed so as to make them partners, joint venturers or agents or impose any liability as such on any of them as a result of this Agreement; provided however that nothing herein will be construed so as to prohibit the Service Recipients and the Manager from embarking upon an investment together as partners, joint venturers or in any other manner whatsoever.

CONTRACTOR and all of its agents and employees act in an independent capacity and are not officers, employees, or agents of the AUTHORITY in the performance of this Contract. This Contract shall not be interpreted or construed to create an association, joint venture or partnership between the parties or impose any partnership obligations or liability upon either party.

Nothing contained in this Agreement will constitute or be deemed to create a partnership or joint venture between the Owners or the Association and Innisfree or its Affiliates.

It is further agreed that in the performance of all obligations undertaken by the Department under this Agreement, the Department is an independent contractor with the right to supervise, manage, control, and direct the performance of the First Responder Services required under this Agreement.
