Independent Expert’s Report provide any assistance or information reasonably requested by APD or its Representatives, or by the Independent Expert, in connection with the preparation of the Independent Expert’s Report;
Independent Expert’s Report provide all assistance or information reasonably requested by TPG or by the Independent Expert in connection with the preparation of the Independent Expert’s Report to be sent together with the Scheme Booklet;
Independent Expert’s Report. (a) The parties acknowledge and agree that Target will commission the preparation of an Independent Expert’s Report for the Target’s Statement as soon as possible following the date hereof. Bidder must provide, at Target’s expense (if this requires out-of-pocket expenses), any assistance or information reasonably requested by Target or by the Independent Expert in connection with the preparation of the Independent Expert’s Report.
(b) Target must, subject to the consent of the Independent Expert and Bidder signing any agreement reasonably required by the Independent Expert, provide a draft of the Independent Expert’s Report to Bidder for the sole purpose of confirming factual accuracy, it being understood that the draft will not include any details of the Independent Expert’s opinions on fairness and reasonableness.
Independent Expert’s Report. As a result of the changes above, BDO, the Independent Expert, has provided an addendum dated 29 March 2017 to the Independent Expert’s Report dated 13 March 2017 (IER) which appears at Attachment 1 of the Original Notice. BDO's conclusions in the IER are that: • the Relevant Interest Acquisition is not fair but reasonable to the Non-Associated Shareholders; and • the granting of the Security is fair and reasonable to the Non-Associated Shareholders. In BDO's opinion (as expressed in the addendum), there has not been a material change in circumstances since preparing the IER and BDO’s conclusions in the IER have not changed as a result of the information set out in the Supplementary Materials. The full addendum is attached. You should read the IER in its entirety (together with the addendum attached) as part of your assessment of the Proposed Transaction and before casting your vote in relation to Resolution 1.
Independent Expert’s Report. Buyers shall cause Navigator to promptly appoint the Independent Expert as soon as practicable after the date of this Agreement and each of Buyers and Xxxx Xxxxxxx shall provide all assistance and information reasonably requested by the Independent Expert in connection with the preparation of the Independent Expert's Report for inclusion in the Notice of Meeting, .
Independent Expert’s Report. Notwithstanding clause 3.2 or any other provision of this agreement, VII will be under no obligation to apply for orders from the Court convening the Scheme Meeting, or take any other steps to obtain the approval of VII Shareholders, if the Independent Expert's Report concludes that the Scheme is not in the best interests of VII Shareholders.

Independent Expert’s Report. Subject to the Independent Expert entering into arrangements with Peabody including in relation to confidentiality in a form reasonably acceptable to Peabody, Peabody must provide any assistance or information reasonably requested by Excel or by the Independent Expert in connection with the preparation of the Independent Expert’s report to be sent together with the Scheme Booklet;
Independent Expert’s Report. The Directors resolved to appoint RSM Corporate Australia Pty Ltd as an independent expert and commissioned it to prepare a report to provide an opinion as to whether or not the Transaction and the proposal in the Resolution is fair and reasonable to the non-associated Shareholders (being the existing Shareholders). What is fair and reasonable must be judged by the independent expert in all the circumstances of the proposal. This requires taking into account the likely advantages to Shareholders if the proposal is approved and comparing them with the disadvantages to them if the proposal is not approved. The Independent Expert has concluded that the proposed Acquisition is fair and reasonable to the non-associated Shareholders. The Directors are very pleased that an independent authority has endorsed the Board’s recommendation to approve the Transaction. The Company strongly recommends that you read the Independent Expert's Report in full, a copy of which is in the Annexure.
Independent Expert’s Report. The Independent Expert issues its report before the date on which the Scheme Booklet is provided to ASIC and the Independent Expert concludes that the Scheme is in the best interest of Bionomics Shareholders (and does not change that conclusion prior to 8.00 am on the Second Court Date).
