Independent Expert’s Report. (a) The parties acknowledge and agree that Target will commission the preparation of an Independent Expert’s Report for the Target’s Statement as soon as possible following the date hereof. Bidder must provide, at Target’s expense (if this requires out-of-pocket expenses), any assistance or information reasonably requested by Target or by the Independent Expert in connection with the preparation of the Independent Expert’s Report.
Independent Expert’s Report provide any assistance or information reasonably requested by APD or its Representatives, or by the Independent Expert, in connection with the preparation of the Independent Expert’s Report;
Independent Expert’s Report provide any assistance or information reasonably requested by Newcrest or by the Independent Expert in connection with the preparation of the Independent Expert’s Report to be sent together with the Scheme Booklet;
Independent Expert’s Report promptly after the date of this deed (if the Independent Expert has not been appointed prior to the date of this deed) appoint an Independent Expert to provide the Independent Expert’s Report (and request that the Independent Expert opines on whether or not the Scheme is in the best interests of QMS Shareholders), and provide any assistance and information reasonably requested by the Independent Expert to enable it to prepare the Independent Expert’s Report (including any updates to such report);
Independent Expert’s Report. Notwithstanding clause 3.2 or any other provision of this agreement, VII will be under no obligation to apply for orders from the Court convening the Scheme Meeting, or take any other steps to obtain the approval of VII Shareholders, if the Independent Expert's Report concludes that the Scheme is not in the best interests of VII Shareholders.
