Independent Legal Representation. The undersigned acknowledge that no law firm has prepared this Agreement on behalf of MBH Investment Group, LLC. Xxxxxx Xxxxxx hereby acknowledges that no law firm has not undertaken to represent or advise him in any manner, and that he has been advised to seek his own independent legal and tax counsel in connection with this Agreement and his investment in the Company. Xxxxxx Xxxxxx further acknowledges that each member has sought independent legal advice with respect to the execution of this Agreement. Notwithstanding its role in negotiating and preparing this Agreement, no law firm shall have the right to continue to solely represent MBH Investment Group, LLC in all matters relating to this Agreement, subject to the Revised Rules of Professional Conduct of the State Bar of Louisiana.
Independent Legal Representation. The Buyer understands that the Brokerage is not responsible for the preparation of any offer, counter offers, agreement to purchase or counter agreements to purchase the Property and the Buyer agrees to retain, at no cost to the Brokerage, independent legal counsel to prepare and review any offer, counter offers, agreement to purchase or counter agreements to purchase the Property. The Buyer also agrees to appoint its independent legal counsel as agent for the purpose of giving and receiving notices pursuant to any offer or agreement to purchase the Property and the Buyer will ensure that copies of all notices are provided to the Brokerage in a timely manner.
Independent Legal Representation. Each Party shall provide for its own legal representation in the event of a dispute among Parties or between a Party and any third party. So long as a conflict does not arise, the Lancaster County Attorney’s Office shall provide legal representation to the LPWMA. If a conflict arises such that the Lancaster County Attorney’s Office determines in its sole discretion that it cannot ethically represent the LPWMA in any matter or matters, the Lancaster Attorney’s Office shall provide written notice of the conflict to each Party. Following such notice, the LPWMA shall engage outside legal counsel in that matter or matters, and the expenses of engaging such outside legal counsel shall first be charged against the separately maintained Overhead Expenses—
Independent Legal Representation. 19. The parents are responsible for seeking and obtaining all necessary advice, and are encouraged to obtain legal advice throughout the mediation process. If during the course of the mediation, the mediator expresses an opinion or comments on an issue, the parents agree that this will not be interpreted as legal advice.
Independent Legal Representation. Each of the Shareholders acknowledges and represents that he or it has been advised by the Corporation, the Corporation’s counsel and the other Shareholders to seek independent legal counsel with respect to the negotiation, preparation and execution of this Agreement.
