Independent Legal Representation. Participant acknowledges that the parties’ interests hereunder are divergent and conflicting in many material respects. Accordingly, Participant acknowledges being advised to retain independent legal counsel before executing this Agreement.

Participant further acknowledges that the Company is not providing any tax, legal or financial advice, nor is the Company making any recommendations regarding participation in the Plan, or acquisition or sale of the underlying Shares. Participant is strongly encouraged to consult with Participant’s own personal tax, legal and financial advisors regarding participation in the Plan before taking any action related to the Plan.
Independent Legal Representation. Each Party shall provide for its own legal representation in the event of a dispute among Parties or between a Party and any third party. So long as a conflict does not arise, the Lancaster County Attorney's Office shall provide legal representation to the YFCRC. If a conflict arises such that the Lancaster County Attorney's Office determines in its sole discretion that it cannot ethically represent the YFCRC in any matter or matters, the Lancaster Attorney's Office shall provide written notice of the conflict to each Party. Following such notice, the YFCRC shall engage outside legal counsel in that matter or matters, and the expenses of engaging such outside legal counsel shall be assessed equally amongst the Parties to this Agreement.

The Buyer understands that the Brokerage is not responsible for the preparation of any offer, counter offers, agreement to purchase or counter agreements to purchase the Property and the Buyer agrees to retain, at no cost to the Brokerage, independent legal counsel to prepare and review any offer, counter offers, agreement to purchase or counter agreements to purchase the Property.
Independent Legal Representation. The parties acknowledge that they have had the opportunity and adequate time to consult with their respective independent legal, corporate, financial and tax advisors concerning this agreement. Exhibit "Z".
Independent Legal Representation. 6.1 The parties are responsible for seeking and obtaining all necessary advice and are encouraged to obtain legal advice throughout the mediation process. If during the course of the mediation, the mediator expresses an opinion or comments on an issue, the parties agree this will not be interpreted as legal advice.
6.2 Agreements are not signed in the mediator’s office.
6.3 The mediator strongly encourages each party to obtain legal advice throughout the mediation process and before any Agreement is signed to ensure they are fully informed of their legal rights and obligations and the legal implications of such an agreement. The parties understand and acknowledge an Agreement reached without the benefit of legal and other necessary advice may be invalid, may later be set aside, or may have unintended consequences.
6.4 If any party chooses not to obtain independent legal advice, he/she agrees to indemnify and save the mediator harmless from any and all liabilities arising out of the mediated agreement.

By the execution of this Agreement, the parties affirm and agree ------------- that they have had the opportunity to review this document with their own legal counsel of their choosing and have been fully advised of the legal affect of the provisions contained in this Agreement before executing the same.

Company acknowledges that it has had the opportunity to seek and retain its own legal counsel to represent and protect its legal and equitable interest in connection with this Agreement. Company also acknowledges that the CEO of WBSI, Rxxxxxx Xxx, is the majority owner of WBSI and is a licensed attorney that has represented the interests of WBSI in connection with this Agreement and has not represented the Company nor its shareholders. Upon the completion of this Agreement, Rxxxxxx Xxx will continue as a significant shareholder and as a creditor of WBSI and due to his stock ownership may continue as a director or officer of WBSI. Based upon Rxxxxxx Xxx’s majority control of WBSI, as the largest creditor of WBSI, and as the sole director and officer of WBSI, Rxxxxxx Day controls WBSI and therefore cannot and has not represented any other party to this Agreement. Company and Shareholder acknowledge that Rxxxxxx Xxx, as a lawyer, has not represented either party individually or collectively.

Following such notice, the LPWMA shall engage outside legal counsel in that matter or matters, and the expenses of engaging such outside legal counsel shall first be charged against the separately maintained Overhead Expenses—
Independent Legal Representation. Each of the Members acknowledges and represents that he, she or it has been advised by the other Members to seek independent legal counsel with respect to the negotiation, preparation and execution of this Agreement. None of the Members has been represented by counsel to the Company.
