INFORMATION ABOUT THE PROPERTY. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PARTIES EACH DISCLAIM ALL LIABILITY AND RESPONSIBILITY FOR ANY REPRESENTATION, WARRANTY, STATEMENTS OR COMMUNICATIONS (ORALLY OR IN WRITING) TO THE OTHER PARTY (INCLUDING, BUT NOT LIMITED TO, ANY INFORMATION CONTAINED IN ANY OPINION, INFORMATION, OR ADVICE THAT MAY HAVE BEEN PROVIDED TO ANY SUCH PARTY BY ANY EMPLOYEE, OFFICER, DIRECTOR, AGENT, CONSULTANT, ENGINEER OR ENGINEERING FIRM, TRUSTEE, REPRESENTATIVE, PARTNER, MEMBER, BENEFICIARY, STOCKHOLDER OR CONTRACTOR OF SUCH DISCLAIMING PARTY OR ITS AFFILIATES) WHEREVER AND HOWEVER MADE, INCLUDING THOSE MADE IN ANY DATA ROOM AND ANY SUPPLEMENTS OR AMENDMENTS THERETO OR DURING ANY NEGOTIATIONS WITH RESPECT TO THIS AGREEMENT OR ANY CONFIDENTIALITY AGREEMENT PREVIOUSLY EXECUTED BY THE PARTIES WITH RESPECT TO THIS TRANSACTION. KMG MAKES NO WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, AS TO THE ACCURACY, COMPLETENESS, OR MATERIALITY OF ANY DATA, INFORMATION OR RECORDS FURNISHED TO W&T IN CONNECTION WITH THIS TRANSACTION. ANY DATA, INFORMATION OR OTHER RECORDS FURNISHED BY KMG ARE PROVIDED TO W&T AS A CONVENIENCE AND W&T’S RELIANCE ON OR USE OF THE SAME IS AT W&T’S SOLE RISK.

INFORMATION ABOUT THE PROPERTY. 8.1 Under the terms of the Consumer Protection from Unfair Trading Regulations 2008, it is an offence to make a false or misleading statement about a property whether in writing or orally. 8.2 You must check the accuracy of the legal pack and the sales particulars for the Property.
INFORMATION ABOUT THE PROPERTY. (a) The Borrower shall provide the Lender within 30 days of each quarter end with a quarterly summary of the Occupational Leases. (b) The Borrower shall, at the Lender’s request from time to time, deliver to the Lender such information as the Lender shall reasonably request and which shall include: (i) details of any rent or periodic reviews on any Occupational Leases, in process or agreed; (ii) a copy of any material report by any property manager, any insurance broker, surveyor or other professional in relation to the Property; (iii) details of any material dispute in relation to the Property; (iv) details of any rent arrears in respect of the Property; (v) details of any proposed capital expenditure in relation to the Property; (vi) details of any material remediation or repair work, repairs required to, or undertaken at the Property; and (vii) any other material matter arising in relation to the Property.
INFORMATION ABOUT THE PROPERTY. All information about the PROPERTY OWNER has given to the LISTING BROKER is accurate, complete and not misleading. The LISTING BROKER assumes no responsibility to OWNER or anyone else for the accuracy of such listing information. OWNER authorizes the LISTING BROKER to obtain other information about the PROPERTY if the LISTING BROKER deems it beneficial to do so. The LISTING BROKER will use sources of information the LISTING BROKER believes to be reliable but is not responsible to OWNER for the accuracy of the information the LISTING BROKER obtains. OWNER authorizes the LISTING BROKER to disclose to prospective purchasers any information about the PROPERTY the LISTING BROKER obtains from OWNER or any other source.
INFORMATION ABOUT THE PROPERTY. 5.3.1 The information about the Property set out to the extent in this Agreement is provided by the Authority in Good faith and with due regard to the matters for which such information is required by the Developer. The Authority agrees to provide to the Developer, upon a reasonable request, any further information relating to the Property, which the Authority may now possess or may hereafter come to possess. Subject to this the Authority makes no representation and gives no warranty to the Developer in respect of the condition of the Property or any information in relation to the same.
INFORMATION ABOUT THE PROPERTY. The Property comprises 6th to 11th floors of Xxx Xxxx Building* (匯貢大廈), which is situated at Xx. 00 Xxxx Xx Xxxx Xxxx, Xxxxxx, Xxxxxxxx, xxx XXX, together with the corresponding land use rights and the right to use 20 car-parking spaces in the basement. Xxx Xxxx Building* (匯貢大廈) is a mixed-use building, and the Property, which is of a total gross floor area of approximately 10,345 sq.m., comprises various shops and office apartments. The land use rights of the Property were designated for recreation and entertainment.

  • IDENTITY OF THE PROPERTY 11.1 The Purchaser shall admit the identity of the Property with that described in the Proclamation of Sale and such other documents offered by the Assignee/Bank as the title to the Property by a comparison of the description in the Proclamation of Sale and the aforesaid documents. 11.2 Any error, misstatement, omission or misdescription of the Property in the Proclamation of Sale and the documents referred to in paragraph 11.1 above shall not annul the sale, nor shall any compensation be allowed therefor.

  • FURNISHED PROPERTY (a) LOCKHEED XXXXXX may, by written authorization, provide to SELLER property owned by either LOCKHEED XXXXXX or its customer (Furnished Property). Furnished Property shall be used only for the performance of this Contract. (b) Title to Furnished Property shall remain in LOCKHEED XXXXXX or its customer. SELLER shall clearly mark (if not so marked) all Furnished Property to show its ownership. (c) Except for reasonable wear and tear, SELLER shall be responsible for, and shall promptly notify LOCKHEED XXXXXX of, any loss or damage to Furnished Property. Without additional charge, SELLER shall manage, maintain, and preserve Furnished Property in accordance with applicable law, the requirements of this Contract and good commercial practice. (d) At LOCKHEED XXXXXX'x request, and/or upon completion of this Contract, SELLER shall submit, in an acceptable form, inventory lists of Furnished Property and shall deliver or make such other disposal as may be directed by LOCKHEED XXXXXX.

  • Information Reporting We may report your performance under this Agreement to credit reporting agencies, including your failure to make minimum payments on time. A negative credit report may significantly harm your ability to obtain credit from other sources. We may also obtain follow-up credit reports on you (for example, when we review your Account for a credit line increase). We may exchange information about you or your Account with our affiliates, and, to the extent permitted by law, with other third parties. However, if you prefer that we not share such information with our affiliate companies, just call us at (000) 000-0000 or outside the Albuquerque area, 0-000-000-0000. You may also write to us at Nusenda Federal Credit Union, P.O. Box 8530, Albuquerque, New Mexico 87198. Closing Your Account. You may close your Account at any time by notifying us in writing. However, you remain responsible to pay the balance according to the terms of this Agreement. We may close your Account or suspend your Account privileges at any time without prior notice. We may also reissue a different Card, Account number, or different checks at any time. You must return the Card or the checks to us upon request. Lost or Stolen Cards. If any Card, Account Number or PIN is lost or stolen, or if you think someone used or may use them without your permission, notify us at once by calling the telephone number shown on the billing statement or by calling 0-000-000-0000. We may require you to provide certain information in writing to help us find out what happened. Do not use the Card after we've been notified, even if it is found or returned. You will not be liable for any unauthorized purchases or cash advances made after we've been notified of the loss or the theft; however, you must identify for us the charges on the billing statement that were not made by you or someone authorized by you, and from which you received no benefit. Credit Authorizations. We are not responsible if we do not approve a purchase or cash advance on your Account, or if a third party refuses to accept or honor the Card, even if you have sufficient credit available. We may limit the number of purchases or cash advances which may be approved in one day. If we detect unusual or suspicious activity on your Account, we may temporarily suspend your credit privileges until we can verify the activity. We may approve purchases or cash advances that cause the balance to exceed your credit line without waiving any of our rights under the Agreement. Waiver. Our failure to exercise, or our delay in exercising any of our rights under this Agreement for any reason does not mean that we will be unable to exercise these rights later.

  • Information/Cooperation Executive shall, upon reasonable notice, furnish such information and assistance to the Bank as may be reasonably required by the Bank, in connection with any litigation in which it or any of its subsidiaries or affiliates is, or may become, a party; provided, however, that Executive shall not be required to provide information or assistance with respect to any litigation between Executive and the Bank or any other subsidiaries or affiliates.

  • Transaction Information The Adviser shall furnish to the Trust such information concerning portfolio transactions as may be necessary to enable the Trust or its designated agent to perform such compliance testing on the Funds and the Adviser’s services as the Trust may, in its sole discretion, determine to be appropriate. The provision of such information by the Adviser to the Trust or its designated agent in no way relieves the Adviser of its own responsibilities under this Agreement.

  • Furnishing Information (a) No Holder shall use any free writing prospectus (as defined in Rule 405) in connection with the sale of Registrable Securities without the prior written consent of the Company. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 4 of this Annex E that the selling Holders and the underwriters, if any, shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registered offering of their Registrable Securities.

The Buyer is not aware of any facts that may constitute a breach of any of the Company's representations and warranties made herein.

  • Name Collision Report Handling 6.3.1 During the first two years after delegation of the TLD, Registry Operator’s emergency operations department shall be available to receive reports, relayed by ICANN, alleging demonstrably severe harm from collisions with overlapping use of the names outside of the authoritative DNS. 6.3.2 Registry Operator shall develop an internal process for handling in an expedited manner reports received pursuant to subsection 6.3.1 under which Registry Operator may, to the extent necessary and appropriate, remove a recently activated name from the TLD zone for a period of up to two years in order to allow the affected party to make changes to its systems.
