Information to Optionee. (a) The Board of Directors in its sole discretion shall determine what, if any, financial and other information shall be provided to Optionee and when such financial and other information shall be provided after giving consideration to applicable federal and state laws, rules and regulations, including without limitation applicable federal and state securities laws, rules and regulations. (b) Optionee hereby agrees that any financial and other information provided to Optionee by the Corporation is confidential and Optionee shall maintain the confidentiality of such financial and other information, shall not disclose such information to third parties, and shall not use the information for any purpose other than evaluating an investment in the Common Stock. Optionee expressly acknowledges that the number of shares exercisable under options granted hereunder, and the terms thereof, shall be confidential. The Board of Directors may impose other restrictions on the access to and use of such confidential information and may require Optionee to further acknowledge the Optionee's obligations under this Section (which acknowledgment shall not be a condition to the Optionee's obligations under this Section 16).
Information to Optionee. The Company shall furnish to the Optionee a ----------------------- copy of the annual report, proxy statements and all other reports sent to the Company's shareholders. Upon written request, the Company shall furnish to the Optionee a copy of its most recent Annual Report on Form 10-KSB and each quarterly report to shareholders issued since the end of the Company's most recent fiscal year.
Information to Optionee. During the period this NQO is outstanding, the Company shall provide Optionee on an annual or other periodic basis financial and other information regarding the Company in accordance with Rule 260.140.41.2 promulgated under the California Corporate Securities Law of 1968, if applicable.
Information to Optionee. The Corporation hereby agrees to provide the Optionee with the Corporation’s audited annual financial statements. I have also received and reviewed a copy of the 2020 Stock Incentive Plan. As Optionee, I hereby acknowledge that as of the date of grant of this Option, it sets forth the entire understanding between the undersigned Optionee and the Corporation and its Affiliates regarding the acquisition of stock in the Corporation and supersedes all prior oral and written agreements on that subject with the exception of any other option awards previously granted and delivered in writing to the undersigned Optionee under the stock incentive plans of the Corporation.
Information to Optionee. Each Optionee shall be provided with such information regarding the Corporation as the Board from time to time deems necessary or appropriate; provided however, that each Optionee shall at all times be provided with such information as is required to be provided from time to time pursuant to applicable regulatory requirements, including, but not limited to, any applicable requirements of the Securities and Exchange Commission, the California Department of Corporations and other state securities agencies.
Information to Optionee. The Company shall provide Optionee, not ----------------------- less frequently than annually, copies of annual franchise statements. The Company shall also provide such statements to Optionee after exercise of the Option while Optionee owns shares of Common Stock acquired pursuant to such exercise.
Information to Optionee. (a) At least five business days prior to exercising an Option, Optionee shall give written notice to the Corporate Secretary of the Company of Optionee's intention to exercise the Option. The Board of Directors of the Company in its sole discretion shall determine what, if any, financial and other information shall be provided to Optionee and when such financial and other information shall be provided after giving consideration to applicable federal and state laws, rules and regulations, including without limitation applicable federal and state securities laws, rules and regulations. (b) Optionee hereby agrees that any financial and other information provided to Optionee by the Company is strictly confidential and Optionee shall maintain the confidentiality of such financial and other information, shall not disclose such information to third parties, and shall not use the information for any purpose other than evaluating an investment in the Common Stock. The Board of Directors of the Company may impose other restrictions on the access to and use of such confidential information and may require Optionee to further acknowledge Optionee's obligations under this Section (which acknowledgment shall not be a condition to Optionee's obligations under this Section 18(b)).
Information to Optionee. The Company shall provide to the Optionee, during the period for which the Option is outstanding, copies of all annual reports and other information which are provided to all shareholders of the Company.
