Initial Prices. Subject to the price adjustments described in this Agreement and the Exhibits hereto, Buyer shall pay to Supplier, for each Product which Buyer orders hereunder, the price for such Product specified on Exhibit A hereto; provided that Exhibit A shall be updated by mutual written agreement of Buyer and Supplier prior to the Effective Date to reflect the initial MIP cost per case for each Product category. Thereafter, both dairy related MIP costs and non-dairy related MIP costs shall be adjusted monthly in accordance with the procedures set forth in Exhibit A. Prior to the first delivery of any Products not listed on Exhibit A, the parties will mutually agree in writing upon the price applicable thereto and, thereafter, such price shall be subject to the price adjustments described in this Agreement; provided, that pricing for any such new Products shall be subject to the same pricing protocols and components as existing Products unless mutually agreed in writing between the parties.
Initial Prices. The initial prices of the Systems -------------- sold to Xxxxxxxx hereunder (the "Initial Price") shall be as set forth on Schedule 2 attached hereto, which prices shall be subject to adjustment as provided in Section 4.1.2 below.

4.3.1.2 In connection with any CRC Joinder Effective Date pursuant to Section 2.10, unless the Parties otherwise agree, the Parties shall endeavor, in good faith and in a commercially reasonable manner, to agree to initial Prices to be used for the Product Groups of CRC Products hereunder according to the procedures described in Schedule N; provided that such Prices shall thereafter from time to time be subject to further adjustment pursuant to Sections 4.3.2 and 4.3.5 below.

Example: 75 million MOUs per calendar month are billed 50 million MOUs at Tier 1 and the excess 25 million MOUs over 50 million MOUs are billed at Tier 2. Beginning with the month of January 2005, if aggregate Sprint Home Customer MOU falls below 50 million MOUs in a calendar month, a $.00750 per MOU surcharge is applied on Home Customer MOU for such month. Sprint retains the right to purchase additional MOUs below the 50 million MOU minimum threshold to reach the 50 million MOU per month level.

Based on current forecasts, Haemonetics anticipates that initial prices to VITEX for Disposables will not exceed [*****] per Disposable, [*****] per single wash Equipment unit, and [*****] per monitoring/communications module to be used with the Multi-Unit Commercial Device and, except in the event of compelling business reasons, Haemonetics agrees that the initial prices shall not exceed these amounts.
