INSTALLATION AND TRANSFER OF GOODS 4. 3.1 The Goods supplied to the Customer by the Supplier under this Call off Agreement shall: (a)conform to the Specification; (b)be of satisfactory quality (within the meaning of the Sale of Goods Xxx 0000, as amended) and fit for any purpose held out by the Supplier or made known to the Supplier by the Customer; (c)be free from defects in design, material and workmanship and remain so for 24 months after acceptance of the Goods following acceptance testing and (d)comply with all applicable statutory and regulatory requirements. 4.3.2 If any Goods supplied, following the Installation Works by the Supplier and following the passing of acceptance testing (in accordance with special conditions 4.4 and 4.5 below) are handed over to the Customer do not then comply with special condition 4.3.1 above, or are otherwise not in conformity with the terms of this Call-off Agreement, then, without limiting any other right or remedy that the Customer may have, the Customer may reject those Goods and: (a)require the Supplier to repair or replace the rejected Goods at the Supplier's risk and expense within five Working Days of being requested to do so; or (b)require the Supplier to repay the price of the rejected Goods in full (whether or not the Customer has previously required the Supplier to repair or replace the rejected Goods); and (c)claim damages for any other costs, expenses or losses resulting from the Supplier's delivery of Goods that do not conform with the terms of this agreement. 4.3.3 The Supplier shall comply with all applicable laws, enactments, orders, regulations and other instruments relating to handling, supply and Installation Works in respect of the Goods. 4.3.4 Following the passing of acceptance testing after the supply and Installation Works in respect of the Goods to be performed by the Supplier (in accordance with special condition 4.5 below), the Supplier with full and unencumbered legal title and responsibility for the Goods shall transfer the Goods to the Customer. The Goods shall transfer to the Customer at the location in which they are found on the date of transfer following the Customer’s acceptance of the Goods post acceptance testing. 4.3.5 The Supplier shall indemnify the Customer in full against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other pr...

  • Transfer or Deletion of Student Data The Provider shall review, on an annual basis, whether the Student Data it has received pursuant to the DPA continues to be needed for the purpose(s) of the Service Agreement and this DPA. If any of the Student Data is no longer needed for purposes of the Service Agreement and this DPA, the Provider will provide written notice to the LEA as to what Student Data is no longer needed. The Provider will delete or transfer Student Data in readable form to the LEA, as directed by the LEA (which may be effectuated through Exhibit D of the DPA), within 30 calendar days if the LEA requests deletion or transfer of the Student Data and shall provide written confirmation to the LEA of such deletion or transfer. Upon termination of the Service Agreement between the Provider and LEA, Provider shall conduct a final review of Student Data within 60 calendar days. If the LEA receives a request from a parent, as that term is defined in 105 ILCS 10/2(g), that Student Data being held by the Provider be deleted, the LEA shall determine whether the requested deletion would violate State and/or federal records laws. In the event such deletion would not violate State or federal records laws, the LEA shall forward the request for deletion to the Provider. The Provider shall comply with the request and delete the Student Data within a reasonable time period after receiving the request. Any provision of Student Data to the LEA from the Provider shall be transmitted in a format readable by the LEA.
