Insurance Permits. Magellan will maintain in full force and effect (i) the Seller's existing insurance coverage with respect to the Facilities and the business operated therein and (ii) all Permits relating to the Facilities or any part thereof.

Insurance Permits. Supplier shall be responsible for, at Supplier’s expense and in Supplier’s name, all applicable payroll taxes and all applicable insurance required for its employees, such as disability and workers’ compensation insurance, as well as Commercial General Liability, Automobile and any other insurance reasonably necessary or appropriate given the nature of the Products or Services to be provided hereunder or as required by Autodesk, as well as licenses and permits usual or necessary for the Products or Services to be provided hereunder. If requested, supplier shall provide proof of same to Autodesk.
Insurance Permits. Each of the Underwriting Companies has all insurance licenses the use and exercise of which are necessary for the conduct of their respective insurance businesses as now conducted, other than such insurance licenses the absence of which would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect. The business of each of the Underwriting Companies is being conducted in compliance, in all material respects, with all such insurance licenses. All such insurance licenses are in full force and effect, and there is no proceeding or investigation pending or, to the Knowledge of Aon, threatened with respect to the cancellation, suspension or non-renewal of such insurance licenses which, individually or in the aggregate, would reasonably be expected to have a Material Adverse Effect.
Insurance Permits. Except as would not be reasonably likely to have a Company Material Adverse Effect, (a) each of the Seller Insurance Subsidiaries has all insurance licenses the use and exercise of which are necessary for the conduct of their respective insurance businesses as now conducted, (b) the business of each of the Seller Insurance Subsidiaries is being conducted in compliance, in all material respects, with all such insurance licenses, (c) all such insurance licenses are in full force and effect and (d) there is no proceeding or investigation pending or, to the Knowledge of Seller, threatened with respect to the cancellation, suspension or non-renewal of such insurance licenses.
Insurance Permits. The Client is responsible for obtaining and paying for any special licenses, fees, or permits required for lawful use of the facility.
Insurance Permits. (a) The Company's Arkansas insurance license is in full force and effect and will be in full force and effect as of the Closing Date, and the Company has not received any notice of default or termination with respect to such license or any threatened cancellation or termination in connection therewith. (b) Schedule 2.2(d) contains a true and correct list of each state in which the Company is eligible, authorized or qualified to issue insurance policies on an excess or surplus lines basis together with satisfactory evidence (as of a recent date) of such eligibility, authorization or qualification in each such state. The eligibilities, authorizations and qualifications set forth on Schedule 2.2(d), together with the Company's Arkansas insurance license, constitute all Insurance Permits required for the conduct of the Company's business as now conducted. The Company shall be so eligible, authorized or qualified, as the case may be, in each such state listed on Schedule 2.2(d) as of the Closing Date. Other than as set forth in Schedule 3.2(b), the Company has not received from any Governmental Entity any notice of suspension or termination with respect to any such Insurance Permits or any threatened suspension, cancellation or termination in connection therewith, or any subpoena or other notice of investigation of any current or prior business practice of the Company. (c) The Company is in good standing with all applicable insurance regulatory authorities with respect to the conduct of the business by the Company. (d) Since its formation, the Company has been engaged solely and exclusively in the insurance business and has conducted no insurance business or other business in any jurisdiction other than the jurisdictions listed in Schedule 2.2(d) and Schedule 3.2(b) with respect to which it would be required to have an Insurance Permit. (e) The Company has (i) timely paid all guaranty fund assessments that are due, or claimed or asserted by any insurance regulatory authority to be due from the Company, or (ii) provided for all such assessments in its Statutory Financial Statements. (f) Except as disclosed on Schedule 3.2(b), no proceeding is pending nor, to Seller's Knowledge, is any proceeding threatened in which any Person is seeking to revoke or deny the renewal of any Insurance Permit. Insurance Permits. All permit and insurance information must be completed and submitted to the Village Hall, 0000 X. Xxxxx, Bartonville, IL for processing one week prior to event. It is recommended that the renter have a copy of all pertinent documents with them the day of the event while they are in the park. This agreement also will help in case of other issues that may arise regarding the use of the shelter.

Insurance Permits. Each of the Company and the Company Insurance Subsidiaries is in possession of all authorizations, licenses, permits, certificates, approvals, exemptions, orders, registrations or clearances of any Governmental Authority required under applicable Laws respecting the business of insurance, including, without limitation, all certificates of authority held by the Company and the Company Insurance Subsidiaries (“Insurance Permits”), and Section 3.19.1 of the Company Disclosure Schedule sets forth a true, complete and correct list of all such Insurance Permits, including, without limitation, all certificates of authority required by each Company Insurance Subsidiary in order to conduct business as an insurer. True and complete copies of all such Insurance Permits have been previously delivered to Parent. The Company Insurance Subsidiaries are in compliance with all such Insurance Permits and all such Insurance Permits are valid and in full force and effect and none of the Company Insurance Subsidiaries is operating under any agreement or understanding with any Governmental Authority that restricts its authority to do business otherwise permitted by applicable Laws. No investigation or proceeding is pending, or to the knowledge of Company, threatened, which would reasonably be expected to result in the revocation, amendment, failure to renew, limitation, modification, limitation or suspension of any such Insurance Permit. None of the Insurance Permits owned or held by any of the Company Insurance Subsidiaries will be adversely affected by the transactions contemplated by this Agreement.
Insurance Permits. Forfeit, abandon, modify, waive, terminate or otherwise change any of its insurance Permits, except (i) as required in order to comply with applicable Laws or (ii) such modifications or waivers of insurance Permits as would not, individually or in the aggregate, adversely affect the business or operations of the Company or any Domestic Insurance Subsidiary in any material respect;
