Investment of Account Balances. The Committee shall direct the Trustee to divide the Fund into three or more Investment Funds, which shall have such investment objectives and characteristics as the Committee shall determine and in which a Member's Account shall be invested according to the Member's instructions pursuant to Sections 5.2 through 5.4. Notwithstanding its stated primary investment objectives, any Investment Fund may make or retain investments of such nature, or such cash balances, as may be necessary or appropriate in order to effect distributions or to meet other administrative requirements of the Plan.

Investment of Account Balances. The Employee Stock Ownership Accounts shall be invested primarily in Employer Securities. All sales of Employer Securities by the Trustee attributable to the Employee Stock Ownership Accounts of all Participants shall be charged pro rata to the Employee Stock Ownership Accounts of all Participants.
Investment of Account Balances. The cash balance standing to the credit of each Account shall be either, at the direction of the Administrative Agent (by written notice to the Collateral Agent), (i) held in such Account and bear interest at such rate, but only as the relevant Account Bank may have agreed to in writing, and specified (if any) or (ii) invested from time to time in such Cash Equivalents as the Administrative Agent shall determine in consultation with the relevant Account Bank (and shall so notify in writing the Collateral Agent who shall then so notify in writing the respective Account Bank), in consultation with the Borrower if no Event of Default has occurred and is continuing or otherwise in its sole discretion, which Cash Equivalents shall be credited to the respective Account. Upon receipt of written instructions from the Administrative Agent, the Collateral Agent shall liquidate any Cash Equivalents acquired with funds from any Account and re-deposit the proceeds thereof to such Account to the extent necessary to make any transfers contemplated hereby from such Account. The Collateral Agent shall not be liable with respect to any losses or investments, lost interest or, penalties resulting from investments or liquidations made at the written direction of the Administrative Agent.

Investment of Account Balances. The cash balance standing to the credit of the Collateral Account and the Concentration Account shall be invested from time to time in such Permitted Investments as the respective Obligor through the Borrower (or, after the occurrence and during the continuance of a Default, the Collateral Agent) shall determine, which Permitted Investments shall be held in the name and be under the control of the Collateral Agent (and credited to the Collateral Account), provided that at any time after the occurrence and during the continuance of an Event of Default, the Collateral Agent shall, but only, if instructed by the Required Secured Parties as provided in the Collateral Agency and Intercreditor Agreement in its (or their) discretion at any time and from time to time elect (or, in the case of the Concentration Account, direct the Depositary) to liquidate any such Permitted Investments and to apply or cause to be applied the proceeds thereof (or, in the case of the Concentration Account, to direct the Depositary to pay the proceeds thereof to the Collateral Agent for application) to the payment of the Secured Obligations in the manner specified in Section 5.09.

  • Investment of Accounts (a) To the extent there are uninvested amounts deposited in the Series Accounts, the Issuer shall cause such amounts to be invested in Permitted Investments selected by the Issuer that mature no later than the immediately preceding Transfer Date.

  • Account Balance The Servicer must never allow any Custodial T&I Account to become overdrawn as to any individual related Borrower. If there are insufficient funds in the account, the Servicer must advance its own funds to cure the overdraft.

  • Payment of Accounts (a) Each of Company and each Eligible Subsidiary will irrevocably direct all of its present and future Account Debtors and other Persons obligated to make payments constituting Collateral to make such payments directly to the lockboxes maintained by Company and each Eligible Subsidiary (the "Lockboxes") with North Fork Bank, the Royal Bank of Canada or such other financial institution accepted by Laurus in writing as may be selected by Company and/or any Eligible Subsidiary (collectively, the "Lockbox Bank") pursuant to the terms of the documentation acceptable to Laurus. On or prior to the Closing Date, each of Company and each Eligible Subsidiary shall and shall cause the Lockbox Bank to enter into all such documentation acceptable to Laurus pursuant to which, among other things, the Lockbox Bank agrees to: (a) sweep the Lockbox on a daily basis and deposit all checks received therein to an account designated by Laurus in writing and (b) comply only with the instructions or other directions of Laurus concerning the Lockbox. All of Company's and each Eligible Subsidiary's invoices, account statements and other written or oral communications directing, instructing, demanding or requesting payment of any Account of Company or any Eligible Subsidiary or any other amount constituting Collateral shall conspicuously direct that all payments be made to the Lockbox or such other address as Laurus may direct in writing. If, notwithstanding the instructions to Account Debtors, Company or any Eligible Subsidiary receives any payments, Company or such Eligible Subsidiary, as the case may be, shall immediately remit such payments to Laurus in their original form with all necessary endorsements. Until so remitted, Company and each Eligible Subsidiary shall hold all such payments in trust for and as the property of Laurus and shall not commingle such payments with any of its other funds or property.

  • Capital Contributions Capital Accounts The capital contribution of the Sole Member is set forth on Annex A attached hereto. Except as required by applicable law, the Sole Member shall not at any time be required to make additional contributions of capital to the Company. The capital accounts of the members shall be adjusted for distributions and allocations made in accordance with Section 8.

  • Cash Account Except as otherwise provided in Instructions acceptable to Bank, all cash held in the Cash Account shall be deposited during the period it is credited to the Account in one or more deposit accounts at Bank or at Bank's London Branch.
