IRS Certification. Each Seller shall deliver to Buyer either (1) a properly executed IRS Form W-9, duly executed by Seller, establishing Seller’s exemption from back-up withholding, or (2) a properly executed IRS Form W-8BEN and certification (or other documentation acceptable to Biota) establishing Seller’s non-residency for U.S. federal income tax purposes and establishing any exemption or reduction (if applicable) for any withholding tax on amounts treated as interest described in Section 2.8(j). If Biota does not receive the forms described in this Section 8.2(d) from any particular Seller, Biota’s waiver of such receipt will not affect its ability to perform any withholding required as permitted under Section 2.7.
