Joint Purchasing. A party may also request that another Party or Parties enter into arrangements to effect the joint purchase of goods or services from third parties; provided, however, that if ComEd is so requested to enter into or to participate in such arrangements, it shall do so only if its fully distributed cost for such goods or services is not thereby increased; and provided further, that no Party shall be required to purchase a service which it is otherwise capable of providing or obtaining. In the event that any such arrangements are established, one Party may be designated as, or serve as, agent for the other Parties to the arrangement and may administer the arrangement (including billing and collecting amounts due the vendor(s)) for the other Parties.

Joint Purchasing. 1. The Commission shall set up and operate a system to aggregate the demand of interested undertakings consuming strategic raw materials established in the Union and ▌ seek offers from suppliers to match that aggregated demand. This shall cover both unprocessed and processed strategic raw materials.
Joint Purchasing. 4.1 The strategic intent of the Parties is to operate as a global purchasing organisation in order to enhance the value creation for both Parties. To that effect they shall cooperate with respect to the sourcing of commodities, components and other goods and services from suppliers.
4.2 The Parties shall enter into one or more agreements (the “Purchasing Agreements”) providing for the cooperation on an exclusive basis (within the meaning and subject to certain exceptions as set forth in Exhibit 3) between them or certain Affiliates in purchasing of commodities, components and other goods and services, which shall contain the terms and conditions attached as Exhibit 3 and such other terms and conditions as may be agreed to by the Parties. The Parties confirm that the Purchasing Agreement executed by the Parties on the date hereof satisfies entirely the obligations of the Parties under Sections 4.1 and 4.2, including on the global reach and the exclusivity of the purchasing organization.
4.3 The Purchasing Agreements shall not contemplate mechanisms to measure and balance the benefits of the Alliance for the Parties, but rather focus on enhanced value creation for both Parties.
4.4 The Parties shall establish an equally owned purchasing joint venture company (the “Purchasing JV”) with minimal capital, funding and staffing requirements, also considering (for purposes of determining the minimal capital, funding and staffing) the relevant regulatory implications. The Parties shall define the roles and responsibilities of such company within the Alliance and decide to staff it accordingly, with balanced leadership between GMH and PSA.
Joint Purchasing. A Party may also request that another Party or Parties enter into arrangements to effect the joint purchase of goods or services from third parties; provided, however, that if Nicor Gas is so requested to enter into and agrees to participate in such arrangements, it shall do so only if its fully distributed cost for such goods or services is not thereby increased. In the event that any such arrangements are established, one Party may be designated as, or serve as, agent for the other Parties to the arrangement and may administer the arrangement (including billing and collecting amounts due the vendor(s)) for the other Parties.
Joint Purchasing. Pursuant to Section 67-2807, Idaho Code, the Board, subject to approval of the Parties’ governing boards as required by other provisions of this Agreement, may authorize joint purchasing of any real or personal property consistent with the laws of the state of Idaho. Prior to the Board approving any joint purchase, the Board shall identify by resolution the plan for distribution and/or ownership of property jointly owned by the Parties upon the withdrawal or termination of a Party.
Joint Purchasing. The City and the Union shall cooperate in a program of pooled or joint purchasing of health benefits including dental, optical and prescription coverage. The parties will explore the development of a joint RFP, for any benefit upon which they mutually agree. If such process results in savings to the DC 47 Health Fund, then such savings shall be used by the Fund solely for the purchase of benefits.
Joint Purchasing. The Cooperative and the member districts may purchase or sell equipment, materials, supplies and fixtures under a joint arrangement or bidding process.
