Common use of Key Individuals Clause in Contracts

Key Individuals. (a) The individuals who are critical to the performance of the Works are identified in Schedule 9 – Key Individuals. Project Co shall use commercially reasonable efforts to ensure that such persons remain involved in the Works in the capacity set out in Schedule 9 – Key Individuals and, in particular, will not, for the duration of the Works, require or request any such person to be involved in any other project on behalf of Project Co or any Project Co Party if, in the opinion of Contracting Authority, acting reasonably, such involvement would have a material adverse effect on the Works. (b) If Project Co considers it necessary to replace any individual identified in Schedule 9 – Key Individuals, Project Co shall provide Contracting Authority with relevant information on the proposed replacement and shall consult with Contracting Authority before finalizing the appointment of such replacement. Project Co shall not replace any of the individuals identified in Schedule 9 – Key Individuals without the prior written consent of Contracting Authority, which consent shall not be withheld or delayed where the proposed replacement is suitably qualified and experienced and of equal or better quality and experience than the individual being replaced. (c) If Contracting Authority determines, acting reasonably, that it is in the best interests of Contracting Authority that any individual identified in Schedule 9 – Key Individuals be replaced, Contracting Authority shall notify Project Co (including a detailed explanation of the reasons for such determination), and, within 30 days of receipt by Project Co of such Notice, Project Co shall provide Contracting Authority with relevant information on the proposed replacement and shall consult with Contracting Authority before finalizing the appointment of such replacement.

(c) If Contracting Authority the CTC determines, acting reasonably, that it is in the best interests of Contracting Authority the CTC that any individual identified in Schedule 9 – Key Individuals be replaced, Contracting Authority the CTC shall notify Project Co (including a detailed explanation of the reasons for such determination), and, within 30 days of receipt by Project Co of such Noticenotice, Project Co shall provide Contracting Authority the CTC with relevant information on the proposed replacement and shall consult with Contracting Authority the CTC before finalizing the appointment of such replacement. Project Co shall not replace any of the individuals identified in Schedule 9 – Key Individuals without the prior written consent of the CTC, which consent shall not be withheld or delayed where the proposed replacement is suitably qualified and experienced and of equal or better quality and experience than the individual being replaced.

(b) The individuals who are critical to the performance of the OM&R Work are identified in Schedule 8 - Key Individuals. Project Co shall use commercially reasonable efforts to ensure that such persons remain involved in the OM&R Work in the capacity set out in Schedule 8 - Key Individuals and, in particular, will not, for the duration of the OM&R Work, require or request any such person to be involved in any other project on behalf of Project Co or any Project Co Party if, in the reasonable opinion of the Ministry, such involvement would have a material adverse effect on the OM&R Work. (c) If Project Co considers it necessary to replace any individual identified in Schedule 9 – 8 - Key Individuals, Project Co shall provide Contracting Authority the Ministry with relevant information on the proposed replacement and shall consult with Contracting Authority the Ministry before finalizing the appointment of such replacement. Project Co shall not replace any of the individuals identified in Schedule 9 – 8 - Key Individuals without the prior written consent of Contracting Authoritythe Ministry, which consent shall not be withheld or delayed where the proposed replacement is suitably qualified and experienced and of equal or better quality and experience than the individual being replacedexperienced. (cd) If Contracting Authority the Ministry determines, acting reasonably, that it is in the best interests of Contracting Authority the Ministry that any individual identified in Schedule 9 – 8 - Key Individuals be replaced, Contracting Authority the Ministry shall notify Project Co (including a detailed explanation of the reasons for such determination), and, within 30 days of receipt by Project Co of such Noticenotice, Project Co shall provide Contracting Authority the Ministry with relevant information on the proposed replacement and shall consult with Contracting Authority the Ministry before finalizing the appointment of such replacement. Project Co shall not replace any of the individuals identified in Schedule 8 - Key Individuals without the prior written consent of the Ministry, which consent shall not be withheld or delayed where the proposed replacement is suitably qualified and experienced.

(c) If Project Co considers it necessary to replace any individual identified in Schedule 9 – - Key Individuals, Project Co shall provide Contracting Authority HMQ with relevant information on the proposed replacement and shall consult with Contracting Authority HMQ before finalizing the appointment of such replacement. Project Co shall not replace any of the individuals identified in Schedule 9 – - Key Individuals without the prior written consent of Contracting AuthorityHMQ, which consent shall not be withheld or delayed where the proposed replacement is suitably qualified and experienced and of equal or better quality and experience than the individual being replacedexperienced. (c) If Project Co considers it necessary to replace any individual identified in Schedule 9 – - Key Individuals, Project Co shall provide Contracting Authority SJHC with relevant information on the proposed replacement and shall consult with Contracting Authority SJHC before finalizing the appointment of such replacement. Project Co shall not replace any of the individuals identified in Schedule 9 – - Key Individuals without the prior written consent of Contracting AuthoritySJHC, which consent shall not be withheld or delayed where the proposed replacement is suitably qualified and experienced and of equal or better quality and experience than the individual being replacedexperienced. (cd) If Contracting Authority SJHC determines, acting reasonably, that it is in the best interests of Contracting Authority SJHC that any individual identified in Schedule 9 – - Key Individuals be replaced, Contracting Authority SJHC shall notify Project Co (including a detailed explanation of the reasons for such determination), and, within 30 days of receipt by Project Co of such Noticenotice, Project Co shall provide Contracting Authority SJHC with relevant information on the proposed replacement and shall consult with Contracting Authority SJHC before finalizing the appointment of such replacement. Project Co shall not replace any of the individuals identified in Schedule 9 - Key Individuals without the prior written consent of SJHC, which consent shall not be withheld or delayed where the proposed replacement is suitably qualified and experienced.

(c) If Contracting Authority SMH determines, acting reasonably, that it is in the best interests of Contracting Authority SMH that any individual identified in Schedule 9 – Key Individuals be replaced, Contracting Authority SMH shall notify Project Co (including a detailed explanation of the reasons for such determination), and, within 30 days of receipt by Project Co of such Noticenotice, Project Co shall provide Contracting Authority SMH with relevant information on the proposed replacement and shall consult with Contracting Authority SMH before finalizing the appointment of such replacement. Project Co shall not replace any of the individuals identified in Schedule 9 – Key Individuals without the prior written consent of SMH, which consent shall not be withheld or delayed where the proposed replacement is suitably qualified and experienced and of equal or better quality and experience than the individual being replaced.

(c) If Contracting Authority the College determines, acting reasonably, that it is in the best interests of Contracting Authority the College that any individual identified in Schedule 9 – Key Individuals be replaced, Contracting Authority the College shall notify Project Co (including a detailed explanation of the reasons for such determination), and, within 30 days of receipt by Project Co of such Noticenotice, Project Co shall provide Contracting Authority the College with relevant information on the proposed replacement and shall consult with Contracting Authority the College before finalizing the appointment of such replacement. Project Co shall not replace any of the individuals identified in Schedule 9 – Key Individuals without the prior written consent of the College, which consent shall not be withheld or delayed where the proposed replacement is suitably qualified and experienced and of equal or better quality and experience than the individual being replaced.

(c) If Contracting Authority JBH determines, acting reasonably, that it is in the best interests of Contracting Authority JBH that any individual identified in Schedule 9 – Key Individuals be replaced, Contracting Authority JBH shall notify Project Co (including a detailed explanation of the reasons for such determination), and, within 30 days of receipt by Project Co of such Noticenotice, Project Co shall provide Contracting Authority JBH with relevant information on the proposed replacement and shall consult with Contracting Authority JBH before finalizing the appointment of such replacement. Project Co shall not replace any of the individuals identified in Schedule 9 – Key Individuals without the prior written consent of JBH, which consent shall not be withheld or delayed where the proposed replacement is suitably qualified and experienced and of equal or better quality and experience than the individual being replaced.
