Landfill Activities. (a) Lessee agrees that the Permitted Use shall not unreasonably interfere or conflict with Lessor’s activities at the Landfill, whether arising in connection with Lessor’s performance of its obligations under the Final Landfill Closure Permit, the Post-Closure Permit, or Applicable Legal Requirements. Lessee further acknowledges and agrees that it shall at all times conduct the Permitted Use in a manner that does not result in damage to the Landfill, the LFGMS, the Cap or any improvements, land, or fixtures relating thereto (other than the Solar Energy Facility), and which complies with the provisions of the Final Landfill Closure Permit, the Post-Closure Permit, and Applicable Legal Requirements. (b) Lessor or its designees shall have the right to enter upon the Premises and, to the extent necessary for the purposes described below, disrupt or temporarily remove portions of the Solar Energy Facility or other Permitted Improvements, subject to the following: (1) At Lessor’s request, Lessee shall move or remove components of the Permitted Improvements whenever Lessor is required under the Final Landfill Closure Permit, the Post-Closure Permit, or Applicable Law to maintain, inspect, monitor, repair or improve any aspect of Landfill, the LFGMS, the Cap or any improvements, land, or fixtures relating thereto, as further set forth in Exhibit C (such actions, the “Landfill Work”). (2) In the event of an emergency condition which, in the reasonable judgment of Lessor, requires Lessor to promptly perform the Landfill Work (such condition, an “Emergency Condition”), Lessor shall give as much prior notice as practicable to Lessee prior to conducting such Landfill Work, and Lessor shall have the right to move or remove such components of the Permitted Improvements as Lessor reasonable determines is necessary for Lessor to undertake such landfill Work. (3) In the event that Lessor is required to perform Landfill Work for reasons other than an Emergency Condition, Lessor agrees that (a) Lessor shall not commence the Landfill Work without providing Lessee with at least two (2) weeks prior written notice, (b) no single Landfill Work event shall result in the disruption of Lessee’s use of more than one (1) acre of the Premises, and (c) there shall not be more than two (2) Landlord Work events under this Agreement in any twelve (12) month period arising during the Term, each of which shall last no longer than seven (7) consecutive days (collectively, a “Permitted Repair”)...

  • Hazardous Activities Notwithstanding any other provision of this Lease, Landlord, for itself and its employees, agents and contractors, reserves the right to refuse to perform any repairs or services in any portion of the Premises which, pursuant to Tenant’s routine safety guidelines, practices or custom or prudent industry practices, require any form of protective clothing or equipment other than safety glasses.   • Regulatory Activities Beginning on the Effective Date and to the extent UGNX remains the Lead Development Party with respect to a particular territory, subject to and in accordance with the terms and conditions of this Agreement and the requirements of Applicable Laws, UGNX, shall: (a) use Commercially Reasonable Efforts to file (or have filed) all Regulatory Filings with respect to the Licensed Products in the Field in order to obtain Marketing Approvals in each country in the Territory and the European Territory (or to obtain the European Centralized Approval in the European Core Territory) and in order to obtain Pricing and/or Reimbursement Approvals in the Profit Share Territory; (b) respond in a timely fashion to requests for data and information from Regulatory Authorities with respect to the Licensed Products in the Field in the Territory and the European Territory; and (c) meet with officials of the Regulatory Authorities at such times as may be requested by such Regulatory Authorities with respect to the Core Development Activities (“Regulatory Activities”), provided that KHK will have primary responsibility for obtaining, and UGNX shall provide all assistance reasonably requested by KHK, in relation to Pricing and/or Reimbursement Approvals for the Licensed Products in the Field in the European Territory. For the avoidance of doubt, UGNX will be responsible for obtaining, and KHK will provide all assistance reasonably requested by UGNX, in relation to Pricing and/or Reimbursement Approvals, if any, for the Licensed Products in the Field in the Profit Share Territory as part of the UGNX Core Development Activities, it being understood that the costs incurred by UGNX in connection with such activities will be shared equally (50/50). All such Regulatory Activities will be conducted in a manner consistent with the Core Development Plan and coordinated by the JSC in accordance with Article 3. Without limiting the applicability of the foregoing and the remainder of this Article 5, UGNX shall interface with the applicable Regulatory Authority(ies) and, through the JDC, shall keep KHK reasonably informed of all material events and developments occurring in the course of the Regulatory Activities, including scheduled UGNX regulatory strategy discussions and meetings with Regulatory Authorities in the Territory and the European Territory relating to the Licensed Products in the Field.
