LATE CHANGES. Change Orders requested after specified construction milestones, shall be deemed Late Changes. Seller shall not be obligated to make any Late Changes that are structural in nature, and in any event, shall not be bound or liable to any extent for any modifications, changes, extras, or deviations hereafter, unless the same shall have been expressly authorized in writing by Change Order and approved by the Seller and Purchaser. Seller shall collect additional deposit(s) for such Change Orders in accordance with the provisions set forth in Paragraph 2 (e) above.

LATE CHANGES. This agreement represents and contains specific configurations and specifications agreed upon between Contractor and City of Wichita. Notwithstanding anything to the contrary contained herein, for any and all proposed changes, no matter how material or immaterial, requested by City of Wichita after the date hereof that are outside of or different from the configurations and/or specifications agreed upon between the parties hereto as of the date hereof, Contractor reserves and shall have the right to, in its sole and absolute discretion, pursue any of the following: Propose price increases for the changed configurations and/or specifications, which price increases are subject to City of Wichita’s prior approval, which approval shall not be unreasonably withheld or delayed; Propose, subject to City of Wichita’s prior approval (which approval shall not be unreasonably withheld or delayed), an alternative build slot and/or delays in delivery/shipment to account for delays resulting from the requested changed configurations and/or specifications; Reject some or all of the requested changes to, among other things, preserve a build slot(s) and delivery timeframe; and/or Any other solution proposed by Contractor, subject to City of Wichita’s prior approval, which approval shall not be unreasonably withheld or delayed. Notwithstanding anything to the contrary contained herein, City of Wichita acknowledges and agrees that any of the above rights, if/when exercised by Contractor (including any delivery/shipment delays and/or alternative build slots and including any outright rejection of any requested changes) shall not (1) be a breach of this Agreement, (2) affect or toll any warranties provided by Contractor, (3) result in or cause any penalties, damages (including liquidated damages), claims or liabilities to Contractor, (4) give City of Wichita any termination right, (5) affect or change payment terms (including any progress payments) and/or (6) give City of Wichita the right to reject any shipment or fail any inspection. In addition, notwithstanding anything to the contrary contained herein, Contractor may, in its sole and absolute discretion, utilize subcontractors to implement any requested changes that Contractor may agree to.

  • Rate Changes Pricing is fixed for the base term of the Agreement. Thereafter, Firm may request an increase to hourly rates to account for changes in the market prices for legal services. Any increase is subject to Citizens’ approval at Citizens’ sole discretion, and must be evidenced by a formal amendment to this Agreement. Price adjustments shall not be applied retroactively. Alternative fee arrangements must be pre-approved by Citizens in writing.

  • Corporate Changes Neither Borrower nor any Subsidiary shall change its corporate name, legal form or jurisdiction of formation without twenty (20) days’ prior written notice to Agent. Neither Borrower nor any Subsidiary shall suffer a Change in Control. Neither Borrower nor any Subsidiary shall relocate its chief executive office or its principal place of business unless: (i) it has provided prior written notice to Agent; and (ii) such relocation shall be within the continental United States. Neither Borrower nor any Subsidiary shall relocate any item of Collateral (other than (x) sales of Inventory in the ordinary course of business, (y) relocations of Equipment having an aggregate value of up to $150,000 in any fiscal year, and (z) relocations of Collateral from a location described on Exhibit C to another location described on Exhibit C) unless (i) it has provided prompt written notice to Agent, (ii) such relocation is within the continental United States and, (iii) if such relocation is to a third party bailee, it has delivered a bailee agreement in form and substance reasonably acceptable to Agent.

  • Climate Change 1. The Parties recognize that the climate change and its adverse effects are a common concern. In that sense, and under their international commitments, the Parties agree to promote joint measures to limit or reduce the adverse effects of the climate change. 2. For promoting sustainable development, each Party, within its own capacities, shall adopt policies and measures on issues such as: (a) improvement of energy efficiency; (b) research, promotion, development and use of new and renewable energy, technologies of carbon dioxide capture, and updated and innovative environmental technologies that do not affect food security or the conservation of biological diversity; and (c) measures for evaluating the vulnerability and adaptation to climate change.

  • Late Charges Lessee hereby acknowledges that late payment by Lessee to Lessor of rent and other sums due hereunder will cause Lessor to incur costs not contemplated by this Lease, the exact amount of which will be extremely difficult to ascertain. Such costs include, but are not limited to, processing and accounting charges, and late charges which may be imposed upon Lessor by the terms of any ground lease, mortgage or deed of trust covering the Premises. Accordingly, if any installment of rent or other sum due from Lessee shall not be received by Lessor or Lessor's designee within ten (10) days after such amount shall be due, then, without any requirement for notice to Lessee, Lessee shall pay to Lessor a late charge equal to six percent (6%) of such overdue amount. The parties hereby agree that such late charge represents a fair and reasonable estimate of the costs Lessor will incur by reason of late payment by Lessee. Acceptance of such late charge by Lessor shall in no event constitute a waiver of Lessee's Default or Breach with respect to such overdue amount, nor prevent Lessor from exercising any of the other rights and remedies granted hereunder. In the event that a late charge is payable hereunder, whether or not collected, for three (3) consecutive installments of Base Rent, then notwithstanding Paragraph 4.1 or any other provision of this Lease to the contrary, Base Rent shall, at Lessor's option, become due and payable quarterly in advance.

  • Fee Changes On each anniversary date of this Agreement (determined from the “Effective Date” for each Fund as set forth on Appendix IV), the base and/or minimum fees enumerated in Appendix IV attached hereto, may be increased by the change in the Consumer Price Index for the Northeast region (the “CPI”) for the twelve-month period ending with the month preceding such annual anniversary date. Any CPI increases not charged in any given year may be included in prospective CPI fee increases in future years. GFS Agrees to provide the Board prior written notice of any CPI increase.

  • Staffing Changes The Director’s prior written approval is required for the Consultant to remove, replace or add to any of its staffing identified in Attachment B of an Approved Service Order.

  • Interim Changes Since the date of its balance sheets, except as set forth in Exhibit C, there have been no (1) changes in financial condition, assets, liabilities or business of Amalgamated which, in the aggregate, have been materially adverse; (2) damages, destruction or losses of or to property of Amalgamated, payments of any dividend or other distribution in respect of any class of stock of Amalgamated, or any direct or indirect redemption, purchase or other acquisition of any class of any such stock; or (3) increases paid or agreed to in the compensation, retirement benefits or other commitments to its employees.
