Lessee to Pay. Lessee shall pay prior to delinquency and throughout the Lease Term, all charges for water, gas, heating, cooling, sewer, telephone, electricity, garbage, air conditioning and ventilation, janitorial service, landscaping and all other materials and utilities supplied to the Premises. The disruption, failure, lack or shortage of any service or utility due to any cause whatsoever shall not affect any obligation of Lessee hereunder, and Lessor shall faithfully keep and observe all the terms, conditions and covenants of this Lease and pay all rent due hereunder, all without diminution, credit or deduction.

Lessee to Pay. Subject to the provisions of Section 4.1.2 and Article 15, the Lessee will pay or cause to be paid all Impositions before any fine, penalty, interest or cost may be added for non-payment, such payments to be made directly to the taxing authority where feasible, and the Lessee, upon request by the Lessor, will promptly furnish the Lessor copies of official receipts or other satisfactory proof evidencing payment not later than the last day on which the same may be paid without penalty or interest. The Lessor shall promptly forward to the Lessee for payment any and all bills or invoices it receives with respect to Impositions.

Notwithstanding the foregoing, if any Impositions are not separately assessed against the Leased Premises and include all or any portion of the CMC Land or any portion of the Building or other improvements thereon, the Lessee shall pay to the Lessor, within ten (10) days of receipt of an invoice from the Lessor, together with a copy of the applicable xxxx from the Governmental Authority or other Person to whom the Imposition is payable, the Lessee's pro-rata share of the applicable Imposition, which for each Imposition, shall equal the amount of the Imposition multiplied by a fraction, the numerator of which shall equal the area of the Land, and the denominator of which shall equal the area of the SNF/CMC Land or such portion thereof affected by the applicable Imposition. If the Lessee shall receive any invoices for Impositions covering any portion of the CMC Land, the Lessee shall, within seven (7) days of receipt of such invoice, deliver the same to the Lessor along with the Lessee' pro-rata share of the Imposition set forth on such invoice calculated in accordance with the immediately preceding sentence.

The disruption, failure, lack or shortage of any service or utility due to any cause whatsoever shall not affect any obligation of Lessee hereunder, and Lessee shall faithfully keep and observe all the terms, conditions and covenants of this Lease and pay all rent due hereunder, all without diminution, credit or deduction. Lessee’s share of utilities may differ from Lessee’s Share of Operating Expenses in that Lessor shall, in no event, recover less than eighty-five percent (85%) of the cost of utilities of the Building from the combination of Lessee and all other tenants of the Building.
