License to Background Technology. Consultant hereby grants (and represents it has the right to grant) to Company a non-exclusive, perpetual, fully-paid and royalty-free, irrevocable and world-wide right, with rights to sublicense through multiple levels of sublicensees, to reproduce, make derivative works of, distribute, publicly perform, and publicly display in any form or medium, whether now known or later developed, make, have made, use, sell, import, offer for sale, and exercise any and all present or future rights in the Background Technology incorporated or used in Work Product for the purpose of developing and marketing Company products and services.
License to Background Technology. Freelancer hereby automatically upon receipt of payment of undisputed amounts from UTG, and without further consideration, grants to the Upwork Client a non-exclusive, perpetual, fully-paid and royalty-free, irrevocable, non- terminable and world-wide right, with rights to sublicense through multiple levels or tiers of sublicensees, to reproduce, make derivative works of, distribute, publicly perform, and publicly display in any form or medium, whether now known or later developed, make, have made, use, sell, import, offer for sale, and exercise any and all present or future rights in the Background Technology incorporated or used in the Work Product.
License to Background Technology. Upon Freelancer’s receipt of full payment from Client for delivery of Work Product, Freelancer hereby automatically grants to Client a non-exclusive, perpetual, fully-paid and royalty-free, irrevocable and worldwide right, with rights to sublicense through multiple levels of sublicensees, to reproduce, make derivative works of, distribute, publicly perform, and publicly display in any form or medium, whether now known or later developed, make, have made, use, sell, import, offer for sale, and exercise any and all present or future rights in the Background Technology incorporated in Work Product delivered for that payment. If payment is made only for partial delivery of Work Product, the license described herein applies only to the portion of Work Product delivered and paid for.
License to Background Technology. The designation of technology as Background Technology does not grant any rights in Background Technology to the receiving party, other than the right to use or reproduce the Background Technology provided for the purpose of performing work under this CRADA. Nothing in this CRADA will be construed to otherwise alter or affect any rights of either Party to any technology listed as Background Technology that exist or are modified outside this CRADA. No license, express or implied, for commercial application(s) is granted to either Party. For commercial applications of any Background Technology, a license must be obtained from the owner.
License to Background Technology. A designation of relevant Background Technology, if applicable, that each Party brings to this CRADA is listed in Article 9. Each Party acknowledges that each Party has put forth reasonable efforts to provide a complete list of Background Technology. However, each Party acknowledges and agrees that additional Background Technology relevant to conduct activities under the CRADA may be incorporated by modification to this CRADA. In the performance of this CRADA, the parties agree to limit the use of Background Technology to those identified in Article 9 or in a modification made in accordance with section 4.6.1. Technology developed by either Party after the Effective Date shall not be listed as Background Technology without mutual agreement of the Parties. Acknowledgement of each Party’s Background Technology list is not acquiescence to the Party’s ownership of the Background Technology or negation of any pre-existing rights held by the Government. The designation of technology as Background Technology does not grant any rights in Background Technology to the receiving Party, other than the right to use or reproduce the Background Technology provided for the purpose of performing work under this CRADA. Background Technology must be returned to the owner of the technology upon the expiration or termination of this CRADA or destroyed; the Collaborator will provide the Government with written certification of destruction. Nothing in this CRADA will be construed to otherwise alter or affect any rights of either Party to any technology listed as Background Technology that exist, are developed, or are modified outside this CRADA. Upon Professional’s receipt of full payment from Client for delivery of Work Product, Professional hereby automatically grants to Client a non-exclusive, perpetual, fully-paid and royalty-free, irrevocable and worldwide right, with rights to sublicense through multiple levels of sublicensees, to reproduce, make derivative works of, distribute, publicly perform, and publicly display in any form or medium, whether now known or later developed, make, have made, use, sell, import, offer for sale, and exercise any and all present or future rights in the Background Technology incorporated or used in Work Product delivered for that payment. If payment is made only for partial delivery of Work Product, the grant described herein applies only to the portion of Work Product delivered.

Artist hereby automatically upon receipt of payment of undisputed amounts, grants to the Client a non-exclusive, perpetual, fully-paid and royalty- free, irrevocable and world-wide right, with rights to sublicense through multiple levels of sublicensees, to reproduce, make derivative works of, distribute, publicly perform, and publicly display in any form or medium, whether now known or later developed, make, have made, use, sell, import, offer for sale, and exercise any and all present or future rights in the Background Technology incorporated or used in Work Product.
License to Background Technology. Service Provider hereby automatically upon receipt of payment from Buyer, grants to Buyer a non-exclusive, perpetual, fully-paid and royalty-free, irrevocable and world-wide right, with rights to sublicense through multiple levels of sublicensees, to reproduce, make derivative works of, distribute, publicly perform, and publicly display in any form or medium, whether now known or later developed, make, have made, use, sell, import, offer for sale, and exercise any and all present or future rights in the Background Technology incorporated or used in Work Product.
License to Background Technology. Upon Qualified Health Professional’s receipt of full payment from Client for delivery of Work Product, Qualified Health Professional hereby automatically grants to Client a non-exclusive, perpetual, fully-paid and royalty-free, irrevocable and worldwide right, with rights to sublicense through multiple levels of sublicensees, to reproduce, make derivative works of, distribute, publicly perform, and publicly display in any form or medium, whether now known or later developed, make, have made, use, sell, import, offer for sale, and exercise any and all present or future rights in the Background Technology incorporated in Work Product delivered for that payment. If payment is made only for partial delivery of Work Product, the license described herein applies only to the portion of Work Product delivered and paid for.
License to Background Technology. Developer hereby grants to Customer all rights and licenses to the Background Technology to allow Customer to use and otherwise exploit perpetually throughout the universe for all or any purposes whatsoever the Mobile App without incurring any fees or costs to Developer (other than the Fees) or any other Person in respect of the Background Technology.
